【摘要】 农村集体产权制度改革催生了农村集体股份经济合作社的诞生。作为一种新的组织形态,农村集体股份经济合作社的治理机制如何运转尚未得到很好的诠释和解构。作为城镇化背景下的一种农村治理改革实践,农村集体股份经济合作社发挥着重要功能,但其治理机制何以影响治理效果仍需更多经验证据证明。因此,农村集体股份经济社合作社的治理机制研究不仅具有理论意义也具有实践意义。本文采用模糊综合分析法,选取G镇QY村和DS村作为样本,通过田野调查、比较案例研究和深度访谈研究方法,运用合作制理论和不完全契约理论,分析解决村集体股份经济合作社治理存在的经营目标不明确、成员身份不唯一、决策制度不完善、缺乏以效益为工作中心的治理经验和强有力的后续工作监督机制等问题,以期获得相对全面的研究框架,方便后续的成因分析和改善建议的提出。本文通过深入了解G镇两个典型案例的实际情况,归纳整理所得信息,最终确定分析框架包含成员身份界定机制、组织运行机制、收益分配机制和市场化运作机制四个部分,以此开展研究并得出以下结论。一是成员身份界定机制分为静态股权管理模式和静止状态股权管理,对应的治理实质是权能界定是否以经济效益为中心,成因分析为村财积累多少导致股份经合社可利用资源是否丰富,村干部领导力强弱导致本社是否延续村委会支持稳定的职能,提出分类激活村干部队伍的提升建议。二是组织运行机制分为理事会、监事会和股权设置的差异,对应的治理实质是选择性完成工作或完成全部工作,成因分析为上级部门的后续监管是否到位,提出加强后续治理的监督巡查的提升建议。三是收益分配机制分为对象、方式和项目设置的差异,对应的治理实质是村民利益如何保障,效益是否决定分配,成因分析为剩余索取权和剩余控制权是否相互匹配,提出适当引入专业团队的提升建议。四是市场化运作机制分为受否启用股份经济合作社,对应的治理实质是本社的市场接受程度,成因分析为成员村民、其他群众和机构的接受态度差异,提出广泛宣传股份经合社相关工作情况和创新集体经济发展方式的提升建议。更多还原

【Abstract】 The reform of the rural collective property right system gave birth to the rural collective stock economic cooperative.As a new form of organization,the Governance Mechanism of rural collective stock economic cooperatives has not been well explained and deconstructed.As a practice of rural governance reform in the context of urbanization,rural collective stock economic cooperatives play an important role,but how their governance mechanism affects the governance effect still needs more empirical evidence to prove.Therefore,the research on the governance mechanism of rural collective stock economic cooperative has both theoretical and practical significance.In this paper,using fuzzy comprehensive analysis method,taking the village of g town QY and village of DS as samples,through field investigation,Comparative Case Study and in-depth interview,using cooperative system theory and unsafe contract theory,this paper analyzes and solves the problems existing in the governance of the village collective stock economic cooperatives,such as the unclear management goal,the non-unique membership,the imperfect decision-making system,the lack of governance experience centered on efficiency and the strong supervision mechanism for follow-up work,etc.,with a view to obtain a relatively comprehensive research framework,facilitate the follow-up analysis of the causes and improvement of the proposed recommendations.In this paper,through in-depth understanding of g town two typical cases of the actual situation,summarized and collated the information obtained,the final analysis framework includes four parts: the definition mechanism of membership,the operation mechanism of organization,the Income Distribution Mechanism and the operation mechanism of marketization.First,the mechanism for defining membership is divided into static equity management mode and static equity management mode.The essence of governance is whether the definition of power and function is centered on economic benefits,the analysis of the causes is that the amount of village wealth accumulated leads to the abundance of available resources of the joint-stock economic cooperation,and the strong or weak leadership of the village cadres leads to the continuation of the stable function of the village committee.Second,the organizational operation mechanism is divided into the difference of the Board of Directors,the Board of Supervisors and the Stock Ownership,the corresponding governance essence is to complete the work selectively or complete all the work,and the cause analysis is whether the follow-up supervision of the Superior Department is in place,put forward to strengthen the supervision and inspection of follow-up governance to improve the proposal.Thirdly,the mechanism of income distribution is divided into the differences of objects,modes and project settings.The essence of governance is how to protect the interests of villagers,whether the benefits decide the distribution or not,and the cause analysis is whether the residual claim right and the residual control right match each other,make suggestions on the appropriate introduction of professional team for promotion.Fourthly,the operation mechanism of marketization is divided into whether or not to start the joint-stock economic cooperative,the essence of the governance is the market acceptance of the cooperative,and the cause is analyzed as the difference of the acceptance attitude of the member villagers,other masses and institutions,put forward to publicize the related work of the joint-stock economic and Cooperation Agency and improve suggestions of innovating the mode of collective economic development.更多还原
