【摘要】 本文以当前中国资本市场的不断改革发展和对战略新兴产业的扶持力度加大为背景,对我国战略新兴产业企业上市的情况进行多角度的归纳和分析,结合安徽HH公司本次科创板IPO的案例,深度展现目前最前沿的科创板企业上市过程。通过对一家具有普遍借鉴意义的公司上市之路的介绍和分析,从企业经营、融资方式、上市方案等各方面对同类型的战略新兴产业企业提出建设性的意见,以改进该类企业的发展目标、经营模式,提高企业管理水平,规避在企业成长过程中可能对包括上市等关键事件产生重大影响的争议决策,选择符合企业预算和预期的中介团队并更好地配合中介团队进行上市辅导工作,以达到快捷高效及时地登陆资本市场、扩大企业影响力的目的。本文灵活运用了文献研究法、理论分析法、比较分析法、实地调研法等研究方法。首先提出问题,阐述相关概念,对科创板市场、战略新兴产业IPO、产学研协同创新等领域进行了文献综述;其次,对战略新兴产业上市路径进行了对比分析,拟通过研究战略新兴产业认定标准和分类特征为接下来的案例分析做好铺垫;再次,从上市失败经历和科创板上市进程两个阶段入手,对安徽HH公司的IPO历程进行了介绍,文章从发行人外部竞争情况、内部发展现状两个角度进行了案例分析,数据来源于在中介机构项目组实习过程中掌握的一手资料,包括现场抽查的凭证、合同、产权证明等关键文件,对企业生产车间、办公场地的踏勘,以及对企业董监高和主要部门主管人员的访谈;最后在企业经营、企业管理规范性、法律纠纷、上市辅导四个方面总结出战略新兴产业上市过程中较易面临的风险,根据学界对战略新兴产业的研究成果,对安徽HH公司客观存在的上市风险提出创新性的解决方案,并对案例中的安徽HH公司及同类战略新兴产业企业、产业政策制定、科创板上市机制改革提出建议。本文研究的安徽HH公司兼具战略新兴产业企业、基础产业创新、民营企业、新三板企业等特点,无论对于同类型企业上市融资,还是产业政策、监管部门法律法规的革新都具有很强的借鉴意义。更多还原

【Abstract】 In this paper,the current reform and development of China’s capital market and the support to strategic emerging industries to increase as the background,the listed company of our country strategic emerging industries multi-angle summary and analysis about the situation,combined with Anhui HH company the Sci-Tech innovation board IPO case,depth to show the current cutting-edge Sci-Tech innovation enterprise listing process.By a listed company,which has universal significance of the road of introduction and analysis,from the enterprise management,financing,listing plan in all aspects such as strategic emerging industry enterprises of the same type put forward constructive Suggestions,to improve the enterprise’s development goals,management mode,improve enterprise management level,to avoid in the process of firm growth is likely to include public key events have a significant impact on controversial decisions,such as choose to conform to the enterprise budget and expectations of the mediation team and better cooperate with the mediation team in listed counselling work,in order to achieve fast and efficient land capital market in a timely manner,the purpose of expanding enterprises influence.This paper flexibly uses the methods of literature research,theoretical analysis,comparative analysis,field investigation and so on.Firstly,questions are raised,relevant concepts are expounded,and literature review is carried out in the fields of science innovation board market,IPO of strategic emerging industries,industryuniversity-Research collaborative innovation,etc.Secondly,it makes a comparative analysis of the listing path of strategic emerging industries,and it is intended to pave the way for the following case analysis by studying the identification standards and classification characteristics of strategic emerging industries.Again,from market failure and Sci-Tech innovation board market two stages of the process of Anhui HH company IPO process are introduced,the article from the issuer external competition situation,the current situation of the development of internal two aspects has carried on the case analysis,data from the intermediaries in the process of project practice to master the firsthand material,including spot checking of documents,contract,certificate of property title and other key documents,to the enterprise production workshop,office space reconnaissance,as well as to the enterprise superintendent dong high and major department person in charge of the interview;In the enterprise management,enterprise management standardization,legal disputes,listed counseling,four aspects,summarizes the strategic emerging industries listed risks more easily in the process,according to the research achievements of strategic emerging industries,the Anhui HH company listed risk exists objectively put forward innovative solutions,and similar to the case of Anhui HH company and strategic emerging industry enterprises,the industrial policy,Sci-Tech innovation board listing mechanism reform Suggestions.The Characteristics of Anhui HH company studied in this paper include strategic emerging industrial enterprise,innovation of basic industry,private enterprise and New Three Board enterprise,etc.,which are of great reference significance for listing and financing of similar enterprises,as well as the innovation of industrial policies and laws and regulations of regulatory authorities.更多还原
