【摘要】 从当前国际形势来看,世界经济深刻调整,保护主义、单边主义抬头,经济全球化遭遇波折,我国正面临百年未有之大变局。纵观国际形势,并结合我国改革开放40多年来的实践经验,我国更加应该坚持对外开放的基本国策,抓住并积极利用战略机遇期,着力构建开放型经济新体制,建成全面开放的新格局,打造更加具有吸引力的营商环境,以开放促改革、促发展。然而,开放外商投资是一把双刃剑,对国家经济安全潜在的威胁也必须得到重视。外商投资安全审查制度是我国坚持对外开放的重要法治保障,开放、透明的制度构建对于营造良好的营商环境、增强外资吸引力具有助推作用,同时对于保护国家经济利益、国家安全利益也具有不可或缺的重要意义。为构建我国外商投资基础法律体系,我国于2020年出台了《中华人民共和国外商投资法》,首次从法律层面明确规定了我国建立外商投资安全审查制度。为进一步落实《外商投资法》,我国于2021年发布了《外商投资安全审查办法》,对我国以往外商投资安全审查领域的法律规范进行了完善和革新。《安审办法》中明确了审查主体,规范了审查范围和程序,同时新增了惩戒机制,极大的提高了安全审查工作的规范性、精准性和透明度,为我国持续实施对外开放政策,打造高标准、市场化、法治化、国际化的营商环境提供了助力。但是,从目前来看,我国外商投资安全审查制度仍然存在一些问题需要完善。因此,本论文以我国的外商投资安全审查制度为研究对象,从理论研究和比较研究出发,对美国、德国外商投资安全审查制度的发展历程及基本框架进行分析和研究,对两国的制度经验进行总结,分析我国对其制度经验的借鉴取舍。其次,分析我国以往外商投资安全审查领域法律法规的发展历史及存在的不足。最后,结合我国2020-2021年最新颁布的《外商投资法》和《安审办法》,研究我国对外商投资安全审查制度的完善和革新。在制度革新的基础上,分析我国外商投资安全审查制度仍然存在的不足,并提出立法参考建议。更多还原

【Abstract】 Judging from the current international situation,the world economy is undergoing profound adjustments,protectionism and unilateralism are on the rise,economic globalization is experiencing ups and downs,and China is facing major changes unseen in a century.Looking at the international situation and combining with the practical experience of China’s reform and opening for more than 40 years,China should adhere to the basic national policy of opening up,seize and actively use the period of strategic opportunities,and strive to build a new open economic system and build a new pattern of full opening.,To create a more attractive business environment,and promote reform and development through opening up.However,opening up foreign investment is a double-edged sword,and the potential threats to national economic security must also be taken seriously.The foreign investment security review system is an important legal guarantee for China’s adherence to opening up to the outside world.The establishment of an open and transparent system has a boosting role in creating a good business environment and increasing the attractiveness of foreign investment.At the same time,it is also effective in protecting national economic and national security interest indispensable importance.To build a basic legal system for foreign investment in China,China promulgated the "Foreign Investment Law of the People’s Republic of China" in 2020,which for the first time clearly stipulated the establishment of a foreign investment security review system in my country from the legal level.In order to further implement the "Foreign Investment Law",my country issued the "Measures for the Security Review of Foreign Investment" in 2021,which has improved and innovated my country’s previous laws and regulations in the field of foreign investment security review.The "Security Review Measures" clarified the review subject,regulated the review scope and procedures,and added a new disciplinary mechanism,which greatly improved the standardization,accuracy and transparency of security review work,and continued to implement the opening-up policy for China.The creation of a high-standard,market-oriented,legal and international business environment has provided assistance.However,from the current point of view,China’s foreign investment security review system still has some problems that need to be improved.Therefore,this thesis takes China’s foreign investment security review system as the research object,starting from theoretical research and comparative research,analyzes and studies the development process and basic framework of the foreign investment security review system in the United States and Germany,and analyzes the two countries’ experience Summarize and analyze China’s reference to its institutional experience.Secondly,it analyzes the development history and existing shortcomings of laws and regulations in the field of foreign investment security review in China in the past.Finally,in conjunction with China’s newly promulgated "Foreign Investment Law" and "Security Review Measures" from 2020 to 2021,we will study the improvement and innovation of China’s foreign investment security review system.On the basis of system innovation,it analyzes the deficiencies that still exist in China’s foreign investment security review system,and puts forward legislative reference recommendations.更多还原
