中美贸易战背景下长臂管辖权研究

【摘要】 自中美贸易战打响以来,中美双方贸易摩擦不断,美国长臂管辖权在经贸领域不断扩张的问题进一步凸显。长臂管辖权在美国确立后,美国利用其在政治、经济、意识形态领域的影响力,逐渐将这一管辖扩展到合同、侵权、商业经营、金融、投资、反腐败、反垄断、网络等不同领域,并呈现进一步扩大其适用范围的趋势,这给中国涉外企业的经济活动带来了巨大的阻碍。近年来,美国出现了保守主义倾向,特朗普上台后提出的“美国优先”政策,促使美国法院更加频繁地使用长臂管辖权,进而获取与美国综合实力不相匹配的超额收益。涉外企业若想进一步扩大规模时不受美国国内法的无端管辖,就必须深刻剖析我国应对美国滥用长臂管辖权所能采取的措施,这样才能够为涉外企业的发展开辟出一条新道路,搭建法律壁垒。本文运用案例分析法、比较研究法和交叉学科研究法,立足于中美贸易战的背景,从长臂管辖权的内涵与外延入手,分析长臂管辖权的发展态势。在此基础上,研究美国长臂管辖权适用的限制,主要有最低限度联系原则、合理性原则、不方便法院原则和国际礼让原则。接下来,总结美国对华滥用长臂管辖权的实践和危害,结合目前中国的对策,剖析中国在应对美国滥用长臂管辖权时存在以下问题:《阻断外国法律与措施不当域外适用办法》(以下简称《阻断办法》),尚未得到落实,依赖美元清算系统,缺乏其他有效反制机制以及企业缺乏应对经验等。最后通过对各国应对美国滥用长臂管辖权的比较研究,提出我国在应对美国滥用长臂管辖权时应当落实完善《阻断外法》,构建以人民币跨境支付系统为中心的独立金融结算体系,依托一带一路平台搭建专门贸易机制,并建立国内法域外适用反制机制、对外贸易调查制度,协助企业应对美国长臂管辖等具体建议。
【Abstract】 Since the start of the Sino-US trade war,Sino-US trade frictions have continued,and the issue of the continuous expansion of US long-arm jurisdiction in the economic and trade field have become more prominent.After the establishment of long-arm jurisdiction in the United States,the United States used its influence in the political,economic,and ideological fields to gradually extend the long-arm jurisdiction to contracts,infringements,business operations,finance,investment,anti-corruption,anti-monopoly,and networks fields,which shows a trend of further expanding the scope of use.This has brought huge obstacles to the economic activities of Chinese foreign-related enterprises.In recent years,conservatism appears in the United States.The "America First" policy put forward by Trump prompts America to use long-arm jurisdiction more frequently,thereby obtaining excess income that does not match the overall strength of the United States.If Chinese foreign-related enterprises want to further expand their scale and not be subject to the unwarranted jurisdiction of the domestic law of the United States,they must deeply analyze the measures that China can take to deal with the abuse of long-arm jurisdiction by the United States.Only in this way can we open up a new path and build legal barriers for the development of foreign-related enterprises.This article uses case analysis method,comparative approach and interdisciplinary research methods,based on the background of the Sino-US trade war,starting from the connotation and extension of long-arm jurisdiction,and analyzes the development trend of long-arm jurisdiction.On this basis,the study of the applicable restrictions of the United States’ long-arm jurisdiction mainly includes the principle of minimum contacts,principle of reasonableness,principle of forum non conveniens,and international comity principle.Next,this article summarizes the practice and harm of the United States abusing its long-arm jurisdiction against China,and combined with China’s current countermeasures,analyzes the following problems in China’s response to the abuse of United States long-arm jurisdiction.First,the Rules on Counteracting Unjustified Extra-territorial Application of Foreign Legislation and Other Measures(hereinafter referred to as the rules on counteracting)have not been implemented;second,international trade relies on the CHIPS and SWIFT;third,other effective countermeasures are scarce;fourth,enterprises lack experience in response.Finally,through a comparative study of other countries’ responses to the abuse of long-arm jurisdiction by the United States,it is proposed that China should implement complete rules on counteracting when responding to the abuse of long-arm jurisdiction by the United States,and build an independent financial settlement system centered on the CIPS,and relying on the Belt and Road initiatives build a special trade mechanism to assist companies in responding to the long-arm jurisdiction of the United States,and establish a countermeasure mechanism for extra-domestic application and a foreign trade investigation system,and assist companies to deal with the long-arm jurisdiction of the United States.
