海外背景CEO能否提升企业国际化程度?

【摘要】 目前的国内和国际环境均为企业国际化带来了发展机遇,而我国作为国际化的后发国家,国际化的能力和经验不足仍然是阻碍企业国际化的主要问题。海外人才引进政策为我国企业带来了一批拥有海外背景的专业化人才,他们在海外的经历不仅给企业带来了丰富的海外市场知识和当地的工作传统,更重要的是曾经积累的社会网络还能在企业拓展海外市场过程中帮助建立与客户或供应商的良好关系,从而有利于海外市场的开拓。本文从如何提高企业国际化程度视角起步,发掘在当前的中国企业国际化程度普遍较低的情况下,企业是否可以通过引进具有海外背景的高管人才来将企业的经营范围进一步延伸到海外。此外,在现代企业两权分离的背景下,高管自身的权力大小对其决策的执行程度起着决定性作用,然而,当权力过大时,其在决策时会趋向有利的一面还是不利的一面值得探讨。本研究以我国沪深A股上市公司2013-2017年数据为研究样本,以高阶梯队理论为基础研究CEO海外背景对企业国际化程度(基于深度和广度)的影响。在此基础上,从管家理论和委托代理理论的相悖视角,建立CEO权力对于CEO海外背景与企业国际化程度的关系的不同调节作用。实证研究结果表明,相对于CEO没有海外背景的企业而言,CEO有海外背景的企业其国际化程度更高,具体来讲,CEO海外工作背景对企业国际化广度和深度有显著的正向影响,而海外教育背景对企业国际化广度和深度的影响不显著。CEO权力负向调节CEO海外背景与企业国际化程度的关系,进一步研究发现,CEO不同类型的权力对CEO海外背景与企业国际化程度的关系产生不同的调节作用:四种权力类型中,仅有所有者权力对CEO海外背景与企业国际化广度关系有显著的负向调节作用,其他权力类型的调节作用不显著;CEO所有者权力对CEO海外背景与企业国际化深度之间的关系起正向调节作用,而结构权力和专家权力则对CEO海外背景与企业国际化深度之间的关系起负向调节作用。本文的创新点如下:虽然以往文献大多证实了海外背景对国际化程度的正向促进作用,但也有少数研究提出不同结论。那么海外背景对企业国际化程度(基于深度和广度)产生的究竟是否是正向影响?本文的研究进一步为该问题提供理论和数据支撑。此外,国内学者较少从高阶梯队理论的视角对企业国际化展开研究,仅有的几篇研究也是从董事会的视角,较少针对CEO个人背景特征展开研究。本文从CEO的个人特征——海外背景入手,以中国沪深A股上市公司为样本深入探究其作用于企业国际化广度和深度的机理。以往的文献中较少有将CEO海外背景分为CEO海外教育背景和CEO海外工作背景进行更深入的研究,探讨不同类型的CEO海外背景对企业国际化程度的影响差异,本文的研究有助于丰富和深化对CEO海外背景的影响研究。将CEO权力作为调节变量引入CEO海外背景与企业国际化程度的关系中,从委托代理理论和管家理论的相悖理论视角出发,提出一对竞争性假设,探讨在CEO权力差距情境下,CEO海外背景对企业国际化程度的影响。本文有一定的理论意义,基于高阶梯队理论从社会资本和人力资本的视角研究了具有海外背景的CEO与企业国际化深度和广度的关系,在一定程度上丰富了高阶梯队理论的内涵。本文分别从委托代理理论和管家理论的相悖视角出发,研究CEO权力对高管个人特征和其所做决策之间关系的调节作用,丰富了国内公司治理的相关研究,为委托代理理论和管家理论在我国企业中的适用性提供了进一步的依据。本文的研究结论为我国企业抓住机遇发展开放型经济,提高中国地区对外开放水平的战略提供了一定的政策建议。从人才引进和人才培养方面为中国企业在国际化浪潮中赶上欧美发达国家,摆脱“后发国际化”企业缺陷提供理论和数据支撑。本文分析了不同类型的CEO海外背景对企业国际化程度的差异化影响,为我国下一步如何培养具有战略作用的“海归”人才建言献策。此外,对我国上市企业形成合理的内部治理结构具有一定的借鉴意义。

【Abstract】 The current domestic and international environment has brought development opportunities for the internationalization of enterprises.However,as a developing country with internationalization,China’s ability to internationalize and experience is still a major obstacle to internationalization.The overseas talent introduction policy has brought a group of professional talents with overseas background for Chinese enterprises.Their overseas experience not only brings rich overseas market knowledge and local work tradition,but also helps to establish good relationship with customers or suppliers in the process of expanding overseas market The development of foreign market.This paper starts from the perspective of how to improve the degree of internationalization of enterprises,and explores whether enterprises can further extend their business scope to overseas by introducing executives with overseas background under the current situation that the internationalization degree of Chinese enterprises is generally low.In addition,in the context of the separation of the two powers in modern enterprises,the power of executives themselves plays a decisive role in the implementation of their decisions.However,when the power is too large,it is worth discussing whether they will tend to be favorable or unfavorable in decision-making.This study takes the data of Shanghai Shenzhen A-share listed companies in 2013-2017 as the research sample,and studies the influence of CEO overseas background on the internationalization degree of enterprises(based on depth and breadth)based on the theory of Upper Echelons Theory.On this basis,from the contrary perspective of the Stewardship Theory and the Principal-agent Theory,the different moderating effects of CEO power on the relationship between the CEO’s overseas background and the degree of enterprise internationalization are established.Based on the Upper Echelons Theory,this paper studies how the CEO with overseas background influence the degree of internationalization.We studies the moderating effect of CEO power based on Principal-agent Theory and Stewardship Theory,enriching the relevant research on corporate governance in China,and provides further basis for which theoryPrincipal-agent Theorythe or Stewardship Theory can better suit for Chinese enterprises.The empricial results show that:compared with the enterprises whose CEO have no overseas background,the enterprises with CEO’s overseas background have higher degree of internationalization.Specifically,CEO’s overseas work background has a significant positive impact on the breadth and depth of enterprise internationalization,while overseas education background has no significant impact on the breadth and depth of enterprise internationalization.CEO power negatively moderates the relationship between CEO’s overseas background and the degree of internationalization.Different types of CEO power have different moderating effects on the relationship between CEO’s overseas background and the degree of enterprise internationalization:among the four types of power,only owner power has significant negative moderating effect,while other types of power have no significant moderating effect.The innovations of this paper are as follows:although most previous literatures have confirmed the positive promotion effect of overseas background on the degree of internationalization,but a few studies suggest otherwise.So what is the effect of overseas background on the degree of internationalization(based on depth and breadth)of enterprises?In addition,domestic scholars seldom carry out researches on enterprise internationalization from the perspective of Upper Echelons Theory,and the only researches focus on the perspective of the board of directors.This paper begins with the characteristics of CEO’ overseas background and takes Chinese enterprises as samples to deeply explore the mechanism of their effect on the internationalization decision-making of enterprises.In previous literature,there are few in-depth studies that divide the overseas background of CEO[[into the overseas education background of CEO and the overseas work background of CEO,so as to explore the differences in the influence of different types of CEO’ overseas backgrounds on the degree of enterprise internationalization.The research in this paper is helpful to enrich and deepen the research on the influence of CEO’ overseas backgrounds.Introduce CEO power as a moderator variable into the relationship between CEO’s overseas background and the degree of enterprise internationalization,compare the content of principal-agent theory and housekeeper theory,propose a pair of competitive hypotheses,and discuss the influence of CEO’s overseas background on the degree of enterprise internationalization in the context of CEO power gap.The conclusion of this paper provides some policy Suggestions for Chinese enterprises.It is useful to guide enterprises to seize the opportunity to develop open economy and improve the level of opening.In terms of talent introduction and talent training,it provides theoretical and data support for Chinese enterprises to catch up with developed countries in Europe and America in the wave of internationalization and get rid of the defects of"late-developing internationalization" enterprises.This paper analyzes the differential influence of different types of CEO overseas backgrounds on the degree of internationalization of enterprises,so as to offer Suggestions for China’s next step in the cultivation of "overseas returnees" talents with strategic functions.In addition,it can be used for reference to form a reasonable internal governance structure and supervision mechanism for listed enterprises in China.
