【摘要】 共享经济是互联网与传统行业相结合的产物,是平台技术、移动支付手段、合作消费理念等的结合,是不同于传统行业的新兴业态,其平台化、互联网+、开放性、资本化等特点是推动其快速发展的原因,经营者集中是企业扩大规模、增强实力、融合资源的路径之一,但是在实现集中的过程中,新兴业态也暴露出一定的问题。首先是以营业额为标准的事先申报制度受到冲击,共享经济企业以低价补贴的手段进入市场竞争,往往以未实现盈利来对营业额标准进行规避;其次在相关市场的界定上,由于双边市场的存在,是否应当将共享经济同传统经济界定在同一个相关市场也是较大的争议点;最后在面对新业态时,在竞争效果分析上是否应当综合考虑创新和效率等因素,执法机构如何适用自由裁量权。针对前述问题,执法机构应当秉持谦抑审慎的执法原则,合理界定相关市场。在经营者集中申报阶段和审查阶段,应当结合创新、效率、市场准入的难易程度等因素综合考量。更多还原

【Abstract】 The sharing economy is a combination of the Internet and traditional industries.It is a combination of platform technology,mobile payment methods,and cooperative consumption concepts.It is an emerging business that is different from traditional industries.It relies on platform,Internet+technology and has the feature of openness and capitalization,which are the reasons for its rapid development.The concentration of operators is one of the ways for enterprises to expand their scale,enhance their strength,and integrate resources.However,in the process of achieving concentration,the emerging businesses have also exposed certain problems.First of all,the pre-declaration system based on turnover is affected.The sharing economic enterprises enter the market competition with low-cost subsidies and they often stated that they did not make any profits to evade the turnover standards.Secondly,in the definition of relevant markets,due to the existence of two-sided market,whether the sharing economy and the traditional economy should be defined in one relevant market is also a big controversy point;finally,in the face of the new economy format,whether the innovation and efficiency factors should be comprehensively considered in the analysis of the competition effect,and how law enforcement agencies can apply discretion is another point.In this thesis,the corresponding questions are answered accordingly,and insist that law enforcement agencies should adhere to the principle of modest and prudent and reasonably define the relevant market.In the declaration and examination stage of concentration of operators,the factors such as innovation,efficiency,and difficulty in market access should be properly combined and taken into consideration.更多还原
