【摘要】 目前我国经济发展进入新常态,市场经济经过多年的发展日趋完善,但由于市场化程度的加深以及市场主体逐利性不断增强,股东会决议效力产生的争议不断增加。在“周某某与A投资有限责任公司关于股东会决议效力确认纠纷”一案中,双方当事人围绕A投资有限责任公司修改公司章程的股东会决议与以A公司资产为第三人提供抵押担保的股东会决议是否有效产生争议。本案案情简单,但在法律条文的适用上存在一些分歧,明确两个股东会决议是否有效取决于对《中华人民共和国公司法》第四十三条、第十六条的理解与适用以及股东会决议有效构成要件分析。目前我国法律法规以及司法实践对于处理这类型案件存在一定模糊性,需要构建股东会决议效力法律适用的系统规则,才能维护股东的利益,保障公司的良性发展,促进经济、法律的协调发展。更多还原

【Abstract】 At the moment,China’s economic development has entered a new normal,and the market-oriented economy is getting better and better after years of development.However,due to the deepening of marketization and the continuous enhancement of profit-oriented market subjects,there are more and more disputes about the determination of the effectiveness of shareholders’ meeting resolutions.In the case of "Zhou Moumou and A Investment Co.,Ltd.on the confirmation of the effectiveness of the shareholders’ meeting resolution dispute",both parties had controversies on whether the result of the Shareholders’ Meeting of A Investment Co.,Ltd.to amend the bylaws of the Company was valid or not and whether the resolution of the Shareholders’ Meeting of A Company’s assets provided mortgage guarantee to the third party was valid.The case is simple,but there are some differences in the application of the legal provisions.It depends on the understanding and application of Article 43 and Article 16 of the Company Law of the People’s Republic of China as well as the analysis of the constitutions of the effective resolutions of the shareholders’ meeting.At the moment,there are some ambiguities in our country’s laws,rules and application of the law to deal with this mold of cases Therefore,it is necessary to construct systematic rules applicable to the law of the effectiveness of shareholders’ meeting resolutions,so as to protect the rights of stockholders,safeguard the sound development of the enterprise and push the coordinated development of economy and law.更多还原
