【摘要】 2017年,国务院办公厅发布《关于促进建筑业持续健康发展的意见》,提出推行施工合同履约保函,但是国内司法实践中长期对独立保函持否定态度,履约保函独立性理论如何在施工合同中应用缺乏理论研究和商业应用。本文首先对独立担保和独立保函的概念进行厘清,对施工合同履约保函的性质进行分析,进而对施工合同履约保函的独立性进行剖析。其次,从独立保函的实质性识别标准入手,就施工合同履约保函独立性条款进行辨析,从偿还能力和偿还意思两方面对施工合同履约保函的独立性强弱进行探讨。再次,对独立保函的法的价值进行讨论,对欺诈例外类型进行分析,并对欺诈例外的三种法律救济方式进行论述。最后,在施工合同履约保函实际应用中,借鉴引入所有权让与担保制度,为承包人履约保函的动产反担保提供思路;考虑银行担保风险控制,研究发包人共同支付保函;以安徽、江苏、贵州三省对施工合同履约保函的实施意见为例,对承包人履约保函和发包人支付保函的关联性和对等性进行探讨。此外,本文对最高人民法院《关于审理独立保函纠纷案件若干问题的规定》中相关条款进行了辨析和研究。更多还原

【Abstract】 In 2017,the General Office of the State Council issued the Opinion on Promoting Sustainable Sound Development in Building Industry and proposed implementation of performance guarantee in construction contracts.However,domestic juridical practice holds the negative attitude towards independent guarantee in the long term.How to use independent performance guarantee in construction contracts is lack of theoretical research and commercial application.In this thesis,the author figures out the concepts of independent guarantee and independent letter of guarantee,analyzes the property of performance guarantee in construction contracts,and elaborates the independence of performance guarantee in construction contracts.Starting from the criterion of identification on substantiality of independent letter of guarantee,the author discriminates independent clauses of performance guarantee in construction contracts and discusses independent degree of performance guarantee in construction contracts from repaying capability and repaying consciousness.Also,the author discusses the value of law in independent letter of guarantee,analyzes the fraud exception types,and elaborates three legal remedies.Finally,the author introduces ownership alienation guarantee system in practical application of performance guarantee in construction contracts and provides an idea for movable property counter guarantee of contractors’ performance guarantee.Considering risk control of bank guarantee,the author studies co-payment guarantee of party issuing contract and uses the implementation opinions of Anhui,Jiangsu and Guizhou on performance guarantee in construction contracts to discuss relevance and parity of contractors’ performance guarantee and payment guarantee of party issuing contract.Besides,the author discriminates and studies relevant clauses in Stipulations on Several Issues about Hearing Independent Letter of Guarantee Dispute Cases by Supreme People’s Court.更多还原
