【摘要】 独立董事制度的引进是完善我国公司治理结构的重大举措,其监督和咨询的职能对于保护公司整体利益大有裨益。近年来我国经济高速发展,证券市场面临新的机遇和挑战。股权分散致使大股东的权力被稀释,小股东维权意识逐渐觉醒,这些都预示着独立董事的法律风险日益加重。如何在高风险的公司治理模式下保障独立董事的民事责任,是我们在新时代需要考虑的问题。本文正文包含四个部分。导论从三个发面展开:研究背景、研究视角、研究意义。导论的提出主要介绍独立董事民事责任领域存在的问题以明确研究方向和研究重点以及本文的篇章结构。第一部分,介绍了我国引入独立董事制度的背景与进程以及引入独立董事制度的必要性;第二部分,梳理我国独立董事法律责任的理论依据,界定独立董事民事责任范围与分类;第三部分,主要分析了在目前的公司治理环境下,独立董事民事责任的发展趋势及存在的问题。第四部分,完善我国独立董事民事责任的几点设想,主要包括董事责任保险和董事责任的免除,此外,作者还对设立独立董事协会对独立董事进行统一管理进行了设想。更多还原

【Abstract】 The independent director system is a major measure to improve the corporate governance.Supervision and consultation is the basic function of the independent director.In recent years,with the booming of economy,the security market is facing new opportunities and challenges.In the era of dispersed ownership,the power of large shareholders is diluted,and the rights consciousness of minority shareholders is waken up.All these indicate the increasing legal risk of independent directors.How to protect the civil liability of independent directors in a high-risk corporate governance mode is a problem we need to consider.The text contains four parts.The introduction begins from three aspects: research background,research perspective,research significance.The introduction of the introduction mainly introduces the problems existing in the field of civil liability of independent directors,so as to make clear the direction and key points of research and the text structure of this article.The first part introduces the background of the independent director system in China.Through this chapter,we can observe the necessity of the independent director system in China.The second part,analyzing the classification of independent directors’ responsibility and clarifying the scope of the civil liability of independent directors,which has an important theoretical role in defining the civil liability of independent directors.The third part mainly introduces the status and development of the civil liability of independent directors,and analyzes the new developmentand existing problems of the civil liability of independent directors under the current corporate governance environment.The fourth part,suggestions on the civil liability of independent directors in China,including the insurance of directors’ liability and the exemption of directors’ responsibility.The author also puts forward to some legislation proposals to establish the Independent Directors’ Association in China.更多还原
