【摘要】 风险投资(Venture Capital,简称是VC)起源于美国,我国从1980年以后开始逐步引进风险投资,尤其是2009中国创业板正式上市,为广大中小企业带来巨大财富效应的同时,也为风险投资行业带来了巨大的发展空间。风险投资是通过为拟投企业/项目提供股权资本,并借助投资机构在企业管理、资本运作、社会关系等方面的资源,帮助被投企业提升管理和关系运作能力,双方共担风险和收益,最终通过出售股权变现以获得投资收益。由于风险投资不要求被投企业进行资产抵押,使得风投机构一旦对被投企业投入资金,便与被投企业盈亏与共,因此,风险管理是风险投资机构非常重要的工作环节。本文运用风险管理方法和工具来构建一套高效、科学、专业的投资公司风险管理体系具有明显的理论和实践价值。近十年,我国风险投资行业发展迅速,风险投资行业的募资和投资均有显著增长,募资金额年均增长25.40%,投资金额年均增长20.96%。ZW投资公司是坐落在东莞市的一家风险投资公司,坐落于珠三角腹地,具有较为明显的地缘优势和区域经济优势,东莞市上市公司及拟上市公司的数量和质量在全国地级市中均处在领先行列,对东莞经济的发展起到了龙头带动作用,ZW投资公司的市场前景较为广阔。本文分别对风险投资、风险管理及风险投资公司等做了理论研究,再结合笔者在ZW投资公司的创业和管理经验,将上述理论在ZW投资公司风险管理中的应用状况进行了归纳和总结,并使用SWOT分析得出ZW投资公司在发展过程中的优势和劣势,以及面临的机遇和挑战,分析了ZW投资公司风险管理存在的问题及其原因,剖析了ZW投资公司构建风险管理体系的必要性。基于以上研究,首先构建了ZW投资公司风险管理体系的概念框架,紧接着分别进行了风险管理的组织结构设计,风险的识别、评估、报告和控制等要素设计,对ZW投资公司在筹资阶段、投后阶段、退出阶段的风险管理展开了全过程的研究,最后设计了ZW投资公司风险管理信息化系统。更多还原

【Abstract】 Venture capital(Venture Capital,referred to as VC)originated in the United States,since 1980 s was introduced to China,has been developing rapidly,especially the 2009 China gem officially listed,bring huge wealth effect for the majority of small and medium-sized enterprises at the same time,but also stimulate the risk investment industry vigorous development.The mode of operation of venture capital is generally composed of professional investment institutions to target enterprises equity investment,and with the help of their own in the modern enterprise management,capital operation,social relations and other aspects of the resources,to participate in a moderate target of enterprise management and provide extended service value,and the target enterprise risk sharing,and ultimately through the sale of holdings of shares of target enterprises to achieve capital appreciation.Compared with banks and other financial institutions use the mortgage creditor’s right way to fight against the risks,risk investment institutions to obtain equity investment into enterprises,investment institutions and investment enterprise risks and benefits.Therefore,the risk investment institutions under a lot of systematic and non systematic risk,risk management is risk investment institutions work very important link,this paper uses risk management methods and tools appropriate to build an efficient risk management system of scientific and professional investment company has significant theoretical and practical value.In recent ten years,the venture capital industry in China has developed rapidly,and the investment and investment of venture capital industry have increased significantly.The amount of fund raising has increased by 25.40% annually,and the amount of investment has increased by an average of 20.96% annually.ZW investment company is a Vc firm located in Dongguan City,is located in the Pearl River Delta hinterland,has obvious geographical advantages and economic advantages,the quantity and quality of Dongguan listed companies and listed companies are in the leading ranks of the prefecture level city in the country,the economic development of Dongguan has played a leading role.ZW investment company of a broad market prospect.This paper gives a theoretical research on risk investment,risk management and Vc firm,combined with the author in the ZW investment company business and management experience,the application of the theory in the risk management of ZW investment in the company,and summarizes,and use SWOT to analysis the advantage and disadvantage of the ZW investment company in the development process well,the opportunities and challenges facing,analyzed the risk management of ZW investments,problems and reasons,the paper analyzes the necessity of the construction of risk management system of ZW investment company.Based on the above research,we construct a conceptual framework for the risk management system of ZW investment company,and then separately the organizational structure design of risk management,risk identification,assessment,reporting and control factors such as design of ZW investment company in the financing stage,investment and risk management,exit stage of the whole process the final design of the risk management information system ZW investment company.更多还原
