【摘要】 2013年12月13日,国务院公开发布了《国务院关于全国中小企业股份转让系统有关问题的决定》,境内符合条件的股份公司均可通过主办券商推荐在全国中小企业股份转让系统挂牌,这标志着新三板扩容至所有符合新三板条件的企业,也为广大中小企业打开了进入资本市场融资的“绿色通道”,在一定程度上解决了融资难困境。新三板市场是我国多层次资本市场体系的重要基础层次,新三板的扩容也让场外市场的发展进入黄金时期,全国中小企业挂牌新三板数量之多使得新三板业务成为金融市场的热点,全国各地券商纷纷大力开展新三板业务。其中,新三板推荐挂牌业务是新三板业务中的基础与核心,由于拟挂牌企业大多规模较小,内控机制不健全,会计制度不完善,故主办券商需要认真地按照挂牌要求对企业进行股份制改造和规范,及时解决挂牌时存在的问题,让企业顺利挂牌。与发达省份的新三板市场相比,广西新三板市场起步晚,发展速度慢,但是也同时具备广阔的市场前景及政府政策支持等优势。本论文以AB证券公司新三板推荐挂牌业务为研究对象,对其业务现状进行研究,分析该业务存在的问题与产生问题的原因,前瞻性地提出相关应对策略。论文首先对国内外有关多层次资本市场形成、场外交易市场发展等相关研究成果进行梳理总结,接着对我国新三板市场发展历程及现状进行了介绍;其次阐述AB证券公司新三板推荐挂牌业务发展现状,并总结出该业务存在市场占有率下降,承揽工作效率低,尽职调查工作缺乏独立性等问题,且分析出了内部及外部原因。最后,本文提出了重视新三板项目的储备、增加尽职调查方法等具体建议。愿AB证券公司在实践过程中,不断加强管理,落实推荐挂牌业务工作的相关部署,促进推荐挂牌业务发展壮大,为当地的经济社会发展作出新贡献。更多还原

【Abstract】 On December 13th,2013,the State Council decisions on major issues concerning national SME share transfer system was released by the State Council,the joint-stock companies within the territory of China who are in conformity with the conditions can through the host brokerages list on the national stock transfer system of small and medium-sized enterprises.It means national-wide expansion of the new third board market and it also build a "green passage" for SME to enter the capital market in the form of financing,this,to some extent,solves the problem of financing.The new third board market is the important basic hierarchy of national multi-level market system,and the expansion also marks the golden time of the development of capital market.The number of SME which listing on the national stock transfer system is big,so it quickly becomes a hot topic in financial market,many brokerages seize the opportunity to open the new third broad business.The listing recommendation business is the foundation and the core part in the new third board business.Most proposed companies are unqualified with small scale,diseased internal control and accounting system,so the host brokerages should carefully rectify and reform the problem of SME then solve it in time to meet the listing requirements make SME list on the new third board more smooth.Compared with the developed provinces,the new third board market in B province exist such problems as slow growth rate,late start,but it also has advantages,such as a broader global market and government financial support.This dissertation,mainly focus on the AB Securities listing recommendation business and analyses the current situation to find the problems exist in the company,finally,give suggestion to improve the situation.Firstly,this paper will based on the literatures of scholars at home and abroad about mutiple level capital market,and over-the-counter market,this thesis combs and summarizes the relevant theories.Secondly,the article summarily looks back on the developing course and current situation of new third board market in our country.Thirdly,introduces AB Securities listing recommendation business current development,in order to find that this security company still has such problems in losing market share,contracted work is inefficient,the due diligence work lack independence.Finally,this paper analyzes the internal and external causes and puts forward some relevant recommendations,such as attaches great importance to the reserves of new third board project,increases the due diligence investigation method,it is hoped that AB Securities will continue to strengthen management,implement the relevant deploy of listing recommendation business,promote the development and growth of listing recommendation business,and make new contributions to the local economic and social development.更多还原
