【摘要】 创新是一个民族进步的灵魂,改革是国家发展的驱动力。科技体制、国企改革作为全面深化改革的重要组成部分,被提升到前所未有的高度。作为创新来源之一的科研院所,拥有大量未转化的科研成果,由于原有体制机制的原因,真正能够转化成生产力的少之又少。另外,作为科技成果转化的重要途径之一的无形资产作价投资设立公司,对于其形成的股权,以往都是由科研院所直接管理,存在着所有权与经营权不分的情况,不符合现代企业制度下的公司治理结构,由科研人员或事业编制人员经营公司,缺少市场化的运营模式,严重制约这些高科技公司的发展。2015年新修订的促进科技成果转化法颁布实施以来,相关部门倡导科研机构设立资产管理公司代表其管理、运营其经营性国有资产。因此,探索出有效的科研机构资产管理公司运营模式,是有一定的研究意义。本文以中科院研究所为例,从资产管理公司主要职能、商业模式、组织机构、公司治理、人员构成、制度建设、运营管理、成果转移转化等方面展开研究。通过对中科院实例情况论证目前常见的三种科研院所资产管理公司运营模式,为科研院所资产管理公司的运营提供参考,目标在于提高科研院所成果转移转化效率,保证国有资产保值增值。更多还原

【Abstract】 Innovation is the soul of a nation’s progress;reform is the driving force for national development.Science and technology system,the reform of state-owned enterprises as an important part of the comprehensive deepening the reform,has been elevated to unprecedented heights.As a source of innovation,research institutes,own a large number of non-transformed scientific research results,due to the existing system and mechanism,it can be converted into real productivity rarely.In addition,scientific and technological achievements of intangible assets valued as an important way to establish an investment company,for its stock in the formation of the past are directly managed by research institutes,there is the case of not distinguished of ownership and management,does not conform to the company governance structure under modern enterprise system,the researchers or business staff manage company,they lack of market-oriented business mode,it seriously restricts the development of these high-tech companies.Thus,in 2015 the newly revised law of promoting scientific and technological achievements implementation,the relevant departments to promote scientific research institutions to set up assets operation company,who can on behalf of itself to manage and operate its operating state-owned assets.Therefore,to explore an effective business mode for assets operation company,there is a certain research significance.In this thesis,take the example of Chinese Academy of Sciences,this article is specified in the following aspects: main functions of assets operation company,business model,organizational structure,corporate governance,personnel structure,system construction,operation and management,the commercialization of research findings etc.Base on the real example of Chinese Academy of Sciences,demonstrate three current common business mode of assets operation company owned by research institutes,to provide reference for assets operation company,the goal is to improve the efficiency of the transfer and transformation of research results,to ensure state-owned assets value preservation and increment更多还原
