【摘要】 国有建筑企业或集体建筑企业经过产权制度改革后,国有和集体的资产全部转让或退出,改制后的民营企业正面临着企业可持续发展的问题。民营建筑企业如何继续保持持续稳定的发展势头,不再让企业的发展单一地依靠某个个体的力量,应当从建立现代化企业管理制度入手,让制度推动企业地发展,南通S建筑公司股权流转正是在这种背景下推行的,股权流转改革对公司下一阶段的发展具有决定的战略意义。本文首先对南通S建筑公司股权流转的管理现状进行分析,主要涉及南通S建筑公司股权结构的发展与变迁,南通S建筑公司股权管理现状,并重点分析南通S建筑公司股权流转中存在的主要问题,主要有传统思想带来的不利影响、职能界定模糊,缺乏监督机制、过分追求短期利益、“59岁”现象带来的不利影响、长官意志影响了流转的顺畅性等,然后从内外部环境两个方面来分析影响南通S建筑公司股权流转的主要因素,在此基础上提出南通S建筑公司股权流转的改进策略与保障措施,具体对策包括股权结构的优化、优化股权的进入与退出机制、深化股权流转效果评价等方面,同时提出股权流转的保障措施,保证股权流转改革目标的顺利实现。更多还原
