【摘要】 国有企业职工持股制度在推进企业股份制改革、完善公司法人治理结构、增强企业活力等方面发挥了重要和积极的作用。但是,职工持股制度的实施也一直伴随着国有资产流失的问题。正是基于这样的背景,国务院国资委出台了《关于规范国有企业职工持股、投资的意见》,以加强国有企业内部管理,防止通过职工持股的渠道转移国有企业利益,造成国有资产流失。然而,从《职工持股意见》在实施过程中遇到了诸多的现实问题,在一定程度上没有实现其目的。因此有必要从《职工持股意见》本身进行反思,并以其为中心,对国有企业职工持股的若干现实问题进行研究。文章首先对国有企业职工持股的相关概念进行了界定,并阐述了《职工持股意见》出台的背景和意义,为下文进一步论述作了铺垫；接着分别从《职工持股意见》实施中遇到的障碍及其对国有企业改革发展造成的负面影响等方面分析了国有企业职工持股制度的若干现实问题；针对问题,提出了完善国有企业职工持股制度的几点设想建议。总的来说,解决职工持股与国有资产保护之间的关系是推进我国国有企业职工持股制度发展、促进国有企业改革的关键因素之一,相关学者也应当给与必要的关注。只有如此,才能在防止国有资产流失的前提下,充分发挥职工持股对促进国企改制发展的积极作用。更多还原

【Abstract】 State-owned enterprises’ employee shareholding system affects well to enterprises shareholding innovation, corporate governance structure consummating and enterprise vitality increase.However, employee shareholding system’s practice brings on a problem of state-owned assets loss.On this background, SASAC (State-owned Assets Supervision and Administration Commission) of the State Council proclaimed the document <Regarding State-owned enterprises’ employee shareholding and investment> to strengthen intramural managing and prevent state-owned assets loss from the employee shareholding channel.But, there’re many reality problem during the pushing process of<Employee Shareholding Opinions>, which affected partly. So, it is necessary to rethink<Employee Shareholding Opinions> itself so that we can research the practical problems of state-owned enterprises’ employee shareholding.This article firstly defines some conceptions regarding state-owned enterprises’ employee shareholding and explains the background and significance of pushing<Employee Shareholding Opinions> to make a foreshadowing for the next depictions.Then, it analyses the practical problems of state-owned enterprises’ employee shareholding from the ways of<Employee Shareholding Opinions> practice difficulties and its bad effects to the reform and development of state-owned enterprises. And, according to these problems, the author brings some good suggestion on consummating state-owned enterprises’employee shareholding system.In summary, resolving the relationship of employee shareholding and state-owned assets loss control is one of the emphasis pushing state-owned enterprises’employee shareholding system development and promoting state-owned enterprises reform. Only in this way, the employee shareholding mode could make active effects to the reform and development of state-owned enterprises, on the premise of prevention state-owned assets loss.更多还原
