【摘要】 企业兼并作为现代企业一项重要的市场活动,不仅对于企业在主业市场的扩张和向其他市场的渗透,而且对于国家的产业、经济结构调整,都有着十分重要的意义。然而,企业兼并活动已日趋复杂化、规模化,它与社会经济、金融、投资、企业战略管理等交融在一起,形成了复杂的兼并机制,企业兼并在快速发展的同时也加大了人们对其研究分析的难度,到目前为止,关于其产生原因、发展规律和趋势的认识仍未能形成定论。经验也同时表明,企业兼并是一把“双刃剑”,既能给社会经济发展带来巨大的推动作用,也有可能沦为单纯的利益争夺甚至引发经济和社会矛盾。因此,对于企业兼并的研究,尤其是利用信息经济学与博弈论理论对企业兼并模型进行分析不仅对当今社会经济的发展,而且从理论上对推动现代企业理论的不断完善都具有重要的意义。本论文旨在以全球第五次兼并浪潮以来的企业兼并现状为研究背景,在对西方企业兼并理论进行认真分析的基础上,归纳总结现有兼并理论中存在的问题,结合我国实际,利用信息经济学与博弈论理论,对非传统条件下的企业兼并模型进行了探讨,包括古诺模型兼并分析、斯塔克伯格模型兼并分析和更为复杂的混合模型兼并分析。通过理论模型的研究,我们发现在非传统假设条件下企业兼并与在传统条件下时的结论有很大的区别,企业兼并更具有复杂的兼并形式及兼并动机,论文最后对企业兼并提出相应的建议与改善对策,寻求建立规范严格的管理模式和高效有序的运行机制,使企业兼并的效率和效益有所改善和提高。更多还原

【Abstract】 As an important modern enterprise market activities, Corporate mergers is not only for businesses in the main market expansion and penetration to other markets, but also for the country’s industry and economic restructuring, have a very important significance. However, enterprise merger has become increasingly complex, large-scale, it form a complex merger mechanism with the socio-economic, financial, investment, enterprise management, strategic integration. As the result of the fast development of the enterprise mergers, it also increased the difficult of the research and analysis. So far, on its causes, the patterns and trends in the development of the theory of the enterprise mergers has not formed. Experience also shows that the enterprise merger is a "double-edged sword", it can bring tremendous role in promoting the development of the society and economic, but also can be reduced to a simple competing interests and even trigger economic and social contradictions. Therefore, the merger of enterprises, in particular the use of inform action theory of economics and game theory model of enterprise merger analysis is of great significance not only of today’s socio-economic development, but also from the theoretical to the promotion of a modern enterprise theory of continuous improvement.. .The topic summarized the existing merger of the problems on the base of the research background of the fifth global wave and the careful analysis of the Western theory. In China’s reality situation, we will do the comprehensive and the systematic study in how to balance the interests of all participants under the different conditions with the information economics and game theory. And through the theoretical research on corporate mergers, we can make a recommendation which can improve the measures for establishing the strict norms and the efficient mode for management, and improve the efficiency of the enterprise mergers.更多还原
