【摘要】 在一个遵循公平、公开、公正原则并讲求诚实信用的证券市场上,证券的价格趋势大体能够反映价值规律并真实反映供求关系。操纵证券交易价格或交易量的行为却人为的制造出虚假的供求关系,扭曲了证券正常的价格走向。资本市场自诞生之日起就充满了诸如欺诈、虚假等诚信缺失甚至违法违规的行为。操纵证券市场罪就是在这样一个大背景下产生的。随着资本市场的迅猛发展,证券市场已经成为我国社会主义市场经济体系的一个重要有机组成部分。我国的证券市场虽然发展很快,在全世界的市场地位也越来越高,但毕竟历史短暂。我国的证券市场还很不完善,证券法律法规以及监管体系还不是很健全。因此,目前在我国证券市场上,操纵证券市场的违法犯罪行为还是比较严重的,理应引起我们的高度重视。制裁和控制操纵证券市场的违法犯罪行为就必然成为立法、司法上的一项重要任务。本文作者结合我国首例操纵证券市场案“汪建中荐股案”这个典型案例,根据其基本案情,就案件焦点问题及有争议部分进行阐述评析,在此基础上归纳总结出操纵证券市场案件的犯罪构成、认定标准及量刑依据,并且对操纵证券市场罪与其他相关证券犯罪的界限加以区分。试图从本案中汲取教训,分析操纵证券市场罪产生的原因并提出预防与惩治操纵证券市场犯罪的建设性意见和对策。为证券交易管理机构完善管理规范、防范非法操作、保障交易秩序稳定和安全提供借鉴。更多还原

【Abstract】 In a fair, open, justice and honesty stock market, the trend of stock prise can reflect the Law of value and the relationship between supply and demand. The behavior of manipulating the prices of securities or trading volume creates a false relationship between supply and demand artificially, distorts the normal price trend. Capital market is full of such as fraud, false or illegal behavior since the date of its birth. The crime of manipulating the securities market appears in this background.With the development of capital market, the stock market has become one of the important organic component of China’s socialist market economy system.. Though the stock market of our country is developing very rapidly, the market position in the world is also higher and higher, after all, has a short time in history. The stock market of our country is not perfect, the securities laws and the supervision system are still not very sound. Therefore, in our country’s securities market at present, the illegal crime activities of manipulation of the securities market is still serious, we should pay a great attention to it. The Sanctions and control of manipulating the securities market become a important task in legislative and judicial affairs.The author of this paper based on our country’s first case of the crime for manipulating the securities market "the Stock Recommendation Case of Wang Jianzhong", according to the basic facts, elaborates the controversial and focus part of this case., based on this the author generalizes the constitution, standards and the sentencing basis of the crime of manipulating the securities market, and finding the differences between the crime of manipulating the securities market and other securities crime. The author is trying to learn from this case, analysis the reason of the crime of manipulating the securities market and puts forward the prevention and punishment of the crime of manipulating the securities market.
