【摘要】 随着我国市场经济的飞速发展,融资融通业务的增多,票据在交易过程中被频繁使用,作为以流通性为本质特征的信用工具,实践对票据背书制度提出了新的要求。期后背书制度是保证票据流通的基本制度,也是票据法中的一个理论难点。对此,理论界争议颇多,在票据实务中也存在着模糊的认识。目前我国虽己形成比较完备的票据立法,但对于期后背书的规定仍缺乏科学性及合理性。票据立法对于票据期后背书内涵的各国界定不尽相同,大体上可分为英美法系国家和日内瓦统一票据法系国家两种立法例。但两大法系对于期后背书效力的规定却是一致的,都规定了票据到期后背书与到期前背书具有同一效力,但期后背书只具有民法中普通债权转让的效力,而不具有票据法上的效力。然而我国《票据法》却规定票据到期后不得背书转让,即否定了期后背书的效力,但同时又规定期后背书人应当承担票据法上的责任。也就是说一方面在票据法上不承认期后背书有效,另一方面又规定期后背书人应由票据责任来规制,这不但与两大法系的规定截然不同,而且与其自身概念界定相矛盾,与票据法理论相悖,也导致了理论与实践的混乱,因此亟待修改完善。基于我国票据法上对期后背书及其效力规定的缺陷,应借鉴国外的经验对此进行修改完善,以符合当今经济一体化趋势之所需,只有与日益统一的国际票据法相一致,票据法才能促进我国经济的进一步发展,才能使我国经济快速融入世界经济。这样不仅在微观上能起到保护具体持票人和票据债务人的合法权益、增强票据的安全性,而且在宏观上也有利于我国的票据立法与国际接轨。更多还原

【Abstract】 With the rapid development of market economy, more and more financing or facilities business are being used, bills are frequently used in the transaction process. As an essential characteristic of circulation, new requirements are needed for the endorsement of overdue bill system. The endorsement of overdue bill is a theoretical difficulty, theorists have different options, and also vague ideas in practical. Although the legislation about the bills, but the endorsement of overdue bill is still lack of scientific and not so reasonable.There are different definitions of the endorsement of overdue bill for countries and regions in the world. Substantially, it can be divided for countries of common law system and Geneva unified bill law country two legislative cases. But the validity of endorsement of overdue bill are the same. They both set the endorsement of overdue bill has the same effect as the normal endorsement, but it only with the effect of general claims. However, the endorser after date must be charged with bill responsibility in the Commercial Instrument Law of PRC. This is not only different from the two legal systems and in contradiction to its own definition of the concept, inconsistent with the theory of the Commercial Instrument Law. The theory and practice has been led to confusion, so should be urgently revised and improved.Based on the defects of the validity of endorsement of overdue bill in the Commercial Instrument Law of PRC, by drawing from the experience of foreign countries to revise and improve our legislation is in line with the current trend. Only with an increasingly unified international Law of Commercial Instruments in line, can promote the development of our economy so fast to the global economy. It can be not only protect the holder at the micro, but also beneficial to Chinese legislation at the macro.更多还原
