【摘要】 情势变更理论在西方法治国家已经有了较为成熟的研究,随着社会的不断发展进步,这一理论原则逐渐被更多国家的法律文件所吸收,成为各国合同法上的一项重要法律制度。由于种种原因,我国现行合同法并没有直接规定这一原则,只是在2009年在最高院关于适用《中华人民共和国合同法》若干问题的解释(二)中提及了对情势变更问题的基本的规定,弥补了立法上的空白,部分程度上满足了急剧变化的社会经济的需要。但是,对于情势变更问题我国立法上仍旧没有制度上的安排,在司法实践中如何判断某一“情势”构成情势变更即何为重大变更,以及情势变更原则如何具体适用等等,很多类似的问题都需要解决。本文运用历史比较考察的方法,首先对国外主要国家及国际商事立法的法律规定进行比较,并在立足于我国法律现状及问题的基础上,借鉴域外先进立法经验,提出了进一步完善我国情势变更原则的具体设想。在对情势变更原则的具体适用过程中总结归纳出具体适用的原则,以求对情势变更原则在我国的立法和司法过程中有所帮助。本文第一章首先对情势变更原则的概念作了分析和界定,从而将本文的研究对象进行了一个梳理,然后阐述了情势变更的主要理论和学说,为下文的论述奠定一个理论基础;同时对情势变更原则的来源进行了考察,通过对情势变更历史渊源的分析,有助于我们更好地理解运用这一原则;第二章阐述了情势变更原则在我国立法及司法现状,以更好地查找不足,完善立法;同时分析了情势变更原则在我国存在的主要问题,并对相关的完善措施进行了说明。第三章探讨了情势变更原则之理论根据,为情势变更原则立法的必要性寻找理由根据;并且对情势变更原则与相关法律规则进行了辨析。第四章最后谈到了情势变更原则具体适用,归纳总结出在具体适用过程中应该注意到的问题。希望本文对于情势变更原则的完善思考,可以增强情势变更原则在司法实践中的可操作性,更好适用情势变更原则服务于现实社会的需要。更多还原

【Abstract】 Theory of the rule of law to change the situation in Western countries have more mature studies, with the continuous development and progress of society, the principle of this theory more countries have been gradually absorbed by the legal documents, become a national contract law is an important legal system. For various reasons, China’s current contract law and does not directly regulate the system to this principle, but in 2009 the Supreme Court on the application of "Contract Law," Interpretation of Several Issues (II) on the issue of changed circumstances provisions in principle make up for gaps in legislation, partly to meet the rapidly changing socio-economic needs. However, China’s legislation on the issue of changed circumstances there is no institutional arrangement is still in judicial practice, how to determine a "situation" changed circumstances that is what constitutes significant change, and how the principle of changed circumstances apply, and so many similar problems need to be resolved.This historical comparison test using rubbing method, first major foreign countries and international commercial law legislation compared, and based on our legal status and problems, based on the learning experience outside the advanced legislation, proposed changes to further improve our situation principles of concrete ideas.
