【摘要】 企业作为一种商事主体,其主体身份性质具有双重性,即商事组织和企业公民；企业作为具有特殊身份的社会公民,在其存在和发展的过程中应当承担和履行一定的社会责任,即商业道德和法律责任。本论文通过对企业社会责任基础理论的阐述和对中外企业社会责任实践的对比分析,并结合典型案例探讨我国商事企业如何真正实践社会责任的途径并予以制度构建,以期对我国商事企业的社会责任进行准确定位,促进我国商事企业的持续健康发展。如何保证商事企业更好的履行其所承担的社会责任并予以构建,使其制度化、体制化,文章采用比较分析的方法、历史分析的方法、概念解释的方法,从四个方面进行分析、论证：第一部分是企业社会责任概述。从阐述企业社会责任的内涵出发,分析、论证了企业承担社会责任的内容,并提出自己的观点。第二部分是企业社会责任的性质。这部分的主要内容包括三个方面：一是企业社会责任属于经济责任；二是企业社会责任属于商业道德；三是企业社会责任属于法律责任。提出自己的观点,即企业社会责任是商业道德和法律责任契合下的统一体。第三部分是我国商事企业履行社会责任中存在的法律问题。这部分包括两个方面：一是对中外企业履行社会责任的现状进行分析,并予以借鉴；二是针对我国目前企业社会责任履行的现状提出了一系列问题。第四部分是我国商事企业履行社会责任的法律制度构建。这部分的内容主要从以下五个方面进行构建：一是构建我国商事企业履行社会责任的商事法律体系；二是构建我国商事企业多层次的法律责任体系；三是构建我国商事企业履行社会的多样化责任监管体制；四是构建我国商事企业履行社会责任政府引导机制；五是强化我国商事企业履行社会责任的商主体责任意识。以期探索我国商事企业如何恰当的履行社会责任的途径,实现我国企业的健康、持续发展。更多还原

【Abstract】 Commercial corporate as a commercial subject, the nature of the subject identity has a duality, that are the commercial organization and corporate citizenship; corporate as a citizen has special status, in its existence and development process should take and fulfill certain social responsibilities, that is business ethics and legal liability. In this thesis, based on the theory of corporate social responsibility and the comparative analysis of Chinese-foreign corporate social responsibility practice, and combined with the typical cases of how Chinese commercial corporate to really fulfill social responsibility and to construct the system, to conduct accurate positioning for commercial corporate bearing the social responsibility in China, to promote the commercial sustainable and healthy development.How to ensure the commercial corporate to better fulfill their social responsibility and be constructed, and to be institutionalized, by comparative analysis, historical analysis and the concept of interpretation to analysis and demonstration it from four aspects:The first part is the overview of corporate social responsibility. From the elaborate concept of corporate social responsibility, analysis and demonstrated the contents of corporate social responsibility and put forward my view.The second part is the nature of corporate social responsibility. The main content in this part of include three aspects:first of all, is the economic liability; next is the business ethics and last is the legal liability. Put forward my view that commercial corporate social responsibility is the unity of the business ethics and the legal liability.The third part is the legal issues of the commercial corporate fulfilling social responsibility in China. This section includes two aspects:first, to analyze the situation of Chinese and foreign corporate to fulfill their social responsibility and to learn from; second, to find a series of questions of the current status of commercial corporate to fulfill social responsibility in China.The fourth part is about building legal systems of the Chinese commercial corporate fulfilling social responsibility. The content of this part main includes the following are five aspects:the first is the construction of commercial legal system of commercial corporate fulfilling social responsibility; the next is the construction of multi-level liability system of commercial corporate; the third is the construction of diversification monitoring system of commercial corporate fulfilling social responsibility; the fourth is the construction of government guidance system of commercial corporate fulfilling social responsibility; the fifth is to intensify the legal liability awareness of the commercial subjects for commercial corporate fulfilling social responsibility.更多还原
