【摘要】 公司是市场经济中的重要主体,公司的设立、运营历来都受到我国立法上的重视。但从我国现今的立法情况来看,我国公司法对于公司的设立、变更、运营方面比较重视,而对于公司的终止方面则较少关注。特别在公司清算方面,缺乏详细或完善的规定,造成了实践中很多问题解决或操作起来无法可依。所以,有必要对我国的清算制度和清算中公司的法律问题进行深入研究。本文针对我国的公司清算状况,力图对公司清算制度作一定的探索。全文分为五部分来论述。第一部分是对公司清算基本理论的介绍,重点阐述了公司清算与公司解散、破产清算的区别,以及清算的种类。第二部分结合我国《公司法》上的有关规定,对我国清算中公司的法人地位和公司机关存续问题做了分析。第三部分对我国清算主体的权利义务和清算组的产生方式做了分析,指出其中所存在的问题,并指出解决方法。第四部分重点对清算组、清算中公司的股东的法律责任进行了详细分析,指出我国清算法律责任方面的不完善,提出在运用司法武器的基础上,构建完善的清算责任体系,这也是本文的重点部分。第五部分是对如何完善我国清算制度做了一些构想,主要建议增加特别清算制度、统一我国的清算机构的名称、明确清算人的法律地位、建立职业清算人制度、建立清算监管体系和责任体系。更多还原

【Abstract】 Company is an important subject in a market economy, the company’s establishment,operation has always been our legislative attention. However, the legislative situation in China today, China’s company law for companies to establish, change, more emphasis on operational aspects, and aspects of the company’s termination of a lesser concern. Especially in the company’s liquidation, the lack of detailed or comprehensive provisions, the practice caused many problems to solve or operate no laws. Therefore, it is necessary clearing systems and clearing our company’s legal issues in-depth study.In this paper, the situation of China’s corporate liquidation, the company liquidation system seeks to probe into some. Paper is divided into five parts to describe. The first part is the basic theory of the company’s liquidation presentation, focusing on the company’s liquidation and dissolution of the company, the difference between bankruptcy and liquidation, and liquidation of the species. Part II in our country, "Company Law" on the relevant provisions of the liquidation of our company’s corporate status and corporate bodies to do the analysis of survival issues. The third part of our rights and obligations of the main clearing and settlement group formation method were analyzed, pointing out the problems and pointed out a solution.The fourth part focuses on the liquidation group, the company’s shareholders in liquidation carried out a detailed analysis of the legal responsibility, points out the liquidation of the imperfections of legal responsibility, proposed to use the legal weapons based on the liquidation of the responsibility to build a sound system, which is this the key part. The fifth part is how to perfect the clearing system to provide some ideas, the main proposal to increase the special liquidation system, unified the name of our clearing organization, a clear legal status of the liquidator, the establishment of vocational liquidator system, set up monitoring systems and accountability system for clearing .更多还原
