【摘要】 伴随着外商直接投资源源不断地引入,我国境内涌现出一大批的外资EPC工程项目。外资EPC工程项目延续了EPC工程项目管理的国际惯例,重视EPC合同管理,并将EPC合同视为工程的“宪法”。外资工程决策者在思索如何充分发挥EPC项目管理模式的优势时,首要考虑的是如何设计出一份优秀的EPC合同。外资工程EPC合同面临着“求好”、“求快”、“求个性化”的设计要求,本文的研究正是着眼于这个看似矛盾但又有现实需要的设计要求,探讨通过何种设计方法来满足这个设计要求。模块化设计作为一种现代化的设计方法,早已模糊地运用在国际工程合同范本的设计中,只是尚未凝结和上升为一种系统的合同设计理论。本文试图将目前较为成熟的产品模块化设计理论模型移植到外资工程EPC合同设计中,为模块化设计和外资工程EPC合同设计之间架起一座桥梁。首先介绍了本文的研究对象,即外资工程EPC合同的基本理论,介绍了模块化设计理念在国际工程合同范本中的体现,并论证了外资工程EPC合同模块化设计的必要性,从而引出了本文的研究工具,即模块化设计的基本理论,进而又分析论证了外资工程EPC合同模块化设计的可行性;然后以产品模块化设计理论模型为原型,构建了外资工程EPC合同模块化设计的理论模型;接着以外资工程EPC合同模块化设计理论模型为总体框架,分析了外资EPC工程项目需求模块创建的方法及过程、外资工程EPC合同功能模块创建的方法及过程以及外资工程EPC合同结构模块创建的方法及过程;最后给出了本文的研究结论、存在的不足以及需进一步研究的问题。更多还原

【Abstract】 With Foreign Direct Investment (FDI) pouring into our country, there has emerged a large number of Foreign-Invested EPC Projects. Foreign-Invested EPC Projects stick to the international practice of EPC project management, and regard the EPC Contract as“the Constitution”of project. While the decision maker in thinking obout how to take advantages of EPC Project Delivery Model, the primary consideration is how to design a good EPC Contract. Contract Design for Foreign-Invested EPC Projects face the demands of“seek good”,“seek quick”and“seek customize”, this thesis is focused on such design demands that are seemingly contradictory but really practical, then try to find whether there is an reasonable method to meet these design demands. As a modern design method, Modular Design has been used fuzzily in the international project standard contracts long ago, but has not been summarized as a systemic design theory. This thesis attempts to transplant the Product Modular Design Theoretical Model which is relative mature to Contract Design for Foreign-Invested EPC projects, and construct a bridge for the Modular Design and Foreign-Invested EPC Contract Design.Firstly introduces the basic theory of Foreign-Invested EPC Contract which is the study object of this thesis, then analyzes the concept of Modular Design Model which is shown in the international project standard contracts and demonstrates the necessity of Modular Design for Foreign-Invested EPC Contract. Then brings out the basic theory of Modular Design which is the study tool of this thesis, and then analyzes the feasibility of Modular Design for Foreign-Invested EPC contracts, and then take the theoretical model of product Modular Design as the prototype, to build a Modular Design model for foreign-invested EPC contracts, and then take such model as total framework, to analyze the creation method and process of demand modules, functional modules and structure modules for Foreign-Invested EPC contract, Finally, presents the conclusions and deficiencies of this thesis, and the issues needed to be further studied.更多还原
