家族企业向现代公司转型的制度创新研究

【摘要】 民营企业在创业之初,选择家族制度有它的合理性,应该认识到家族企业是中国民营企业发展史上的一个必经阶段,不能完全抹杀家族制的可操作性和它业已取得的成绩。而对于任何一个具有明确发展目标的企业而言,做大做强是其梦寐以求的愿望。小的家族企业发展壮大以后,引入职业经理人制度,进行公司制改革,改善公司治理结构,这是适应企业内在发展需要的“蜕变”。家族企业作为现代社会中一种常见的经济现象,同是也是一种特殊的文化现象,家族企业与非家族企业在许多方面是迥然相异的。例如,家族企业的发展机制是什么?制度创新的制约因素何在?其间存在怎样的规律性?在领导权的代际变更中,如何进行权力交接?如何掌管家族企业以克服生命周期?如何变革企业制度实现持续发展?家族企业在民营企业队伍中功不可没,它的存在对推动经济发展起了重要作用。但家族制企业发展到今天,与现代企业发展要求有很多不相适应的地方。在当今瞬息万变的商业环境中,家族企业自会感到许多压力,而制度环境变化的压力也许会是首当其冲的。前进、徘徊、抑或倒退,这是每个家族企业都必须做出的抉择。而能够持续向前的,只属于那些能够正视变化,敢于进行制度创新,应付未来各种挑战的企业。要应变成功,关键在于企业能够否保持对制度环境的竞争性态势,能否创造一种向上的活力,能够造就一种适时变革的主动创新精神。为适应市场经济发展的要求,顺应企业发展的规律,家族企业必须在产权制度、治理机制、用人机制、企业文化等方面进行制度创新,突破家族企业原有的相对封闭的圈子,从非规范的管理向现代企业的制度化管理进行转化。与此同时,还必须改善企业存在的社会环境,为家企业顺利实现制度创新创造良好的外部条件。在经过了制度创新改造的家族制企业,在未来的很长一段时期内,仍将会是一种有效的组织形式。本文旨在家族企业相关理论和制度变迁理论的基础上,主要采用理论分析、规范性分析和案例分析方法,通过对家族企业的界定,分析家族企业的特征,指出家族企业制度变迁的必要性,进而得出家族企业在其生命周期中,要想成长壮大持续发展,必须向现代公司转型,建立现代公司制度。探讨了家族企业向现代公司转型的制度创新,在制度创新中主要涉及两个方向:体制创新和内部机制创新,并结合部分案例为家族企业向现代公司转型的制度创新提出了相关了政策建议。
【Abstract】 In the beginning of foundation, private enterprise selects family system has its rationality. We should realize that family enterprise is an inevitable stage of Chinese private enterprises’development history, and also can’t completely erase its maneuverability and achievements. But for anyone with an explicit development goal of enterprise, to be bigger and stronger is their dreams. When small family enterprises grow bigger, introducing professional manager, undertaking reforms turning, improving corporate governance structure become the internal development needs of "transformation", they have to do these.The family enterprise acts as a kind of common economic phenomenon in modern society, which is also a special cultural phenomenon, family enterprise with the family enterprises is quite different from non-family enterprise in many ways. For example, what is the development mechanism of family enterprises? What is the restricting factors of system innovation? What are the regularity among them? In the intergenerational changes in leadership, how to transfer power? How to charge family enterprise to overcome life cycle? How to change enterprise system to realize sustainable development? Family enterprise contributes greatly to the private enterprises and its existence has played an important role in economic development. But in modern times, family enterprises can not still adapt to modern enterprise development requirements. In today’s business environment, the family enterprises certainly can feel a lot pressure, and system environment change pressures may be the brunt. Forwarding, wandering, or reversing, this is the necessary decision that each family enterprise must make. Being able to continue moving forward, success only belongs to that kind of enterprises who can observe the changes, dare to choose the system innovation, deal with future challenges. To strain success, the key lies in whether enterprise can keep on the competitive situation with institutional environment, can create an upward vigor, be able to create a timely transformation of the initiative innovation spirit.In order to adapt the market economy development request, complied with the enterprise’s development rule, the family enterprise must in aspect and so on property right system, management system, servant mechanism, enterprise culture system carry on the system innovation, the circle which the breakthrough family seals up. Simultaneously, the family enterprise must also improve the social environment which the enterprise exists, for family enterprise smooth realization system innovation creation good external condition. The author believed that, passed through the system again structure, family enterprise’s superiority and the modern enterprise system organically unifies in together, in the future very long section of times, it still could be one kind of effective organization form.This article aims to base on family business related theories and the theory of institutional change, mainly adopt theoretical analysis and normative analysis and case analysis method, through the definition of family enterprises, analyzing different features of family enterprises, points out the necessity of family enterprises institutional changing, and furthermore gets a conclusion that during its lifetime if the family enterprise wants to grow and develop continuously, it must transform to the modern company, and establish the modern corporate system. Also, it discusses the system innovation during the transformation of family enterprise to modern company, which basically involves in two directions:the innovation of system and internal mechanism innovation, and combines with analysis of some related cases to offer some policy suggestions to the transformation.
