【摘要】 黑龙江省城市商业银行自成立以来取得了快速发展,但与省内国有、股份制等其他银行机构相比,存在着经营规模小、经营地域范围受限等问题,综合竞争能力和持续发展能力不强,在日趋激烈的市场竞争中面临着被边缘化的危险,黑龙江省城市商业银行通过合并重组做大做强势在必行。本文的研究目的是研究一套指导黑龙江省城市商业银行合并重组改革工作的科学方案。本文案例部分介绍了黑龙江省城市商业银行的发展状况、合并重组方案的制定过程及最终决策。结合案例,在案例分析中,首先从合并重组工作的可行性和方案中工作原则规定的可行性、一级法人体制模式的可行性、以省级财政为主的资本结构的可行性等四方面,分析了合并重组方案的可行性。然后,从合并形式、股权规定、企业文化、体制机制等四方面,分析了合并重组方案中存在的主要问题并提出了改进建议。最后,提出了合并重组方案实施的保障措施。本文得出的主要结论有：一是黑龙江省城市商业银行合并重组具有必要性和可行性。二是黑龙江省城市商业银行合并重组应采取吸收合并的合并形式,三是合并重组后的新银行应实行一级法人体制。通过该案例的研究,不仅丰富了我国银行改革的实践理论,同时也为国内其他中小银行合并重组方案的制定提供了参考。更多还原

【Abstract】 Merchant banks of the cities in Heilongjiang Province have been developed rapidly from theirs establishing, but they have the problems of small funds and limited area which comparing with the banks of state-owned enterprises and joint-stock system have weak competitiveness. So merchant banks of the cities in Heilongjiang Province must be stronger and stronger by uniting and reorganizing.The aim of this thesis is to make a scientific scheme of the uniting and reorganizing of merchant banks. The part of cases introduces the development and the cases of uniting and reorganizing and the final decision. Connected the cases, firstly, the thesis analyze the feasibilities of uniting and reorganizing, the principle and rule, the system of legal person and capital structure. Secondly, it analyzes the problems of the case of reorganizing on the system on the system of organizing, the rule of shares, the culture of enterprises and mechanism of system. Lastly, it advances the guarantee measures of reorganizing.The conclusion of this thesis:1, the feasibility and necessity of uniting and reorganizing of merchant banks.2, the system of uniting of merchant banks.3,the new banks should carrying out the system of legal person in level one.
