【摘要】 公司治理问题随着所有权与经营权的分离而出现,公司治理解决的核心问题是委托—代理问题。委托—代理关系作为现代公司的一个重要特征,使得公司治理问题已经成为国内外理论界和实务界共同关注的一个热点领域,是在市场经济发展过程中所有企业都需要面对的问题。公司作为商品和服务的提供主体,在各国经济与社会生活中的地位日益增强,公司治理的快速发展也早已在全球经济生活中成为现实。特别是在“安然事件”之后,商业诚信问题越来越突出,公司治理的改革也进入新的阶段,公司开始结合各种内外部环境因素,进一步思考和规范自己的行为。产业发展问题也一直受到广泛的关注与重视,产业发展是产业经济学的宏观层面,它不仅是产业结构和产业组织有机融合的载体,也是产业经济学从静态研究向动态研究分析的转折点。产业发展是一个从低级到高级的演进过程。它研究的对象是单个企业构成的产业或由单个产业构成的产业群体。当前产业发展研究主要存在的问题是：在研究方法上,缺乏实证研究；在研究内容上过于重视产业结构而没有深入到产业组织中去。产业发展是建立在企业成长的微观基础上,公司治理的完善也必然受到产业结构、产业政策和产业环境的影响。因此,将公司治理问题与产业发展问题结合起来研究具有重要的现实指导意义。近年来,伴随着经济的迅速发展,社会问题也层出不穷。同时受到国际社会对企业社会责任的推动,国家对科学发展观及和谐社会建设的倡导,企业社会责任日渐成为理论界和实务界关注的重要理论,他们开始认识到各方利益相关者对企业的重要影响,意识到企业履行社会责任是提升公司竞争力、促进产业发展和推动社会进步的决定性因素之一。企业作为社会经济的重要组成部分,不能仅以追求利润最大化作为自身的唯一目标,而忽视了其他利益相关者的权益,而应主动承担社会责任。企业社会责任旨在缓和直至解决现代公司治理和产业发展中引发的一系列严重的社会问题,最终构建公司、产业与社会之间的和谐关系。履行社会责任是企业的品牌投资、形象投资,既能实现企业持续、健康的发展,也能达到企业回报社会、推动社会进步的目的。因此,通过强化社会责任治理机制,可以有效的促使经济的可持续发展,推动和谐社会的构建。本文研究的主要内容及结论有：一、基于公司治理与产业发展相关理论,运用规范分析方法,构建了公司治理与产业发展的关系演变模式。运用PEST四维度模型对公司治理和产业发展过程的影响因素进行了分析；凸显社会资本对公司治理和产业发展的重要作用；构建了公司治理与产业发展互为基础、互相作用的互动关系及演进模式。二、基于利益相关者理论、经济社会学和产业社会学相关理论,运用规范分析和实证分析相结合的方式,构建了公司、产业和社会的关系网络系统。指出公司治理与产业发展过程中涉及到的众多利益相关者,并分析总结不同的利益相关者对公司治理和产业发展的作用以及公司对各方利益相关者所应承担的责任义务。三、基于企业社会责任理论,提出了强化企业社会责任的治理机制。为了使治理机制具有较强的针对性、实践性和现实意义,分别从完善公司治理、促进产业发展和推动社会进步三个层面来进行探索。指出公司治理过程中应完善公司治理结构模式,将企业社会责任归入公司的战略体系,并积极构建责任型企业文化。提出产业发展过程中应完善外部市场,调整产业结构和政策,强化行业协会功能,优化市场环境。认为政府应加强自身的职能建设,完善相关的法律法规体系,加大环保力度,构建企业社会责任评价体系,并倡导企业积极地履行慈善公益责任。本文共分六章内容来论述上述内容：第一章为导论。第二章为文献回顾与综述,为后续章节讨论的展开提供理论基础。第三章为公司治理与产业发展关系模式构建,指出二者的联系与互动模式。第四章为公司治理及产业发展与社会责任关系研究,构建公司、产业和社会的关系网络系统。通过对社会问题的实证分析,提出企业履行社会责任的重要性与紧迫性。第五章为企业社会责任治理机制的强化思路与对策。第六章为总结与展望,总结了本文解决的主要问题及存在的不足,提出今后研究的改进方向。更多还原

【Abstract】 With the separation of ownership and management, it has emerged a problem knows as corporate governance, the core issue of which should be concerned is Principal-Agent relationship. Principal-Agent relationship has been a significant characteristic of modern enterprises, which cause corporate governance as a heated topic commonly concerned with practitioners and theorists from home and abroad. This is a problem should be faced by all companies in the process of market development. Companies as the main part of providing productions and service, has been increasingly important in economic and social life in all the countries. The rapid development of corporate governance has realized all over the world. Especially after the "Enron Fails ", commercial integrity becomes more and more serious, and the reform of the corporate governance has come into a new stage, then companies try to combine the inside and outside environmental factors to think and regularize their behaviors further.Industry development is the macro-level of industrial economics, and it is not only the carrier of the industrial structure and industrial organization but also the turning point of the industrial economics from static study to dynamic analysis. Industry development is a process from junior stage to senior stage, its subject is the industry of several enterprises or industrial group of several industries. The current problem of the industry development research is as follows:firstly, it lacks of the empirical research on the research method; secondly, the research contents don’t penetrate deeply into industrial organization but pay more attention to industrial structure.Industry development is on the basis of the enterprise growth. In addition, the completing of corporate governance will be affected by industrial structure, industrial policies and industrial environment. So, it becomes the realistic guiding significance of the research to combine the corporate governance and industry development.Recent decades has witnessed the emergence of social problem with the rapid development of the economy. And meanwhile, with the promotion of corporate social responsibility by the international community, the proposition of implementing the scientific development view and building the harmonious society by our country, the Corporate Social Responsibility theory(CSR) has become a significant topic which concerned by practitioners and theorists. They begin to realize the companies are seriously influenced by stakeholders. And performancing corporate social responsibility will be a decisive factor of promoting the corporate competence, stimulating industry development and pushing social development. As a major part of the social economics, enterprises can’t regard pursuing profit maximization as the only target and ignore the benefit of the other stakeholders. Enterprise should initiatively undertake the corporate social responsibility. The aim of CSR is to alleviate and solve the serious social problem caused by the modern corporate governance and industry development, and make up the harmonious relationships among enterprise, industry and society. CRS is the companies’ brand and image investment which can help the sustainable and healthy development of the enterprise as well as return for the society and improve the society. Therefore, CSR can effectively prompt the sustainable development of economy and help building the harmonious society.The main contents and conclusions of the paper are as follows:1 On the basis of the corporate governance theory and industry development theory, the paper establishes the relationship mode of the corporate governance and industry development by using normative analysis. It analyzes the influence factors of the corporate governance and industry development with the PEST model; And introduces the social capital’s influence to corporate governance and industry development; Then builds the evolution mode of the interaction between corporate governance and industry development.2 On the basis of the stakeholder theory, the economic sociology and the industrial sociology, the paper establishes the relational network of the company by using both normative analysis and empirical analysis, industry and society. It demonstrates that there are a lot of stakeholders relate to the process of corporate governance and industry development. And it also concludes that the effect of stakeholders and the obligation of companies.3 On the basis of the CRS theory, the paper proposes the governance mechanism to strengthen CRS. It researches on improving corporate governance, prompting industrial development and propelling social progress to make sure the mechanism is pertinent, practical and realistic. The paper points out that the corporate governance structure should be completed, the CRS should be subsumed in the strategic system, the company should actively build the responsible corporate culture. It demonstrates that we should improve the external market in the process of industry development, adjust the industrial structure and policy, strength the trade associations’ function and develop the market environment. It suggests that the government should enhance the supervisory role of itself, complete the system of the law and regulation, strengthen the enforcement to protect the environment, build the evaluation system of CRS and advocate the company to implement the charity obligation. To demonstrate the above-mentioned contents, the paper divides into six parts: Chapter one is introduction. Chapter two is review. Chapter three builds the mode of the interaction between corporate governance and industry development. Chapter four is the research of the relationship between corporate governance, industry development and the CRS. Chapter five is the research of the countermeasures to strengthen CRS.
