【摘要】 随着网络技术和知识经济的发展,电子商务成为经济发展的主要趋势。信息流、物流、资金流是电子商务领域中非常重要的三大环节,其中资金流是任何交易中最核心、最关键的环节,也是交易能够进行的基础条件。在电子商务中资金流的表现主要是以网上支付为主,网上支付在开放的系统平台通过电子数据流转来完成信息传输,较之传统的支付具有低成本、高效性的优势。但是与此同时,网上支付作为一种新兴的支付模式,在其迅速崛起的同时也面临着诸多的困难和风险。因此,本人对网上支付的风险防范及其救济问题予以关注,从风险的角度审视网上支付法律规范的不足,并尝试对我国现存的网上支付风险规制的法律规范进行完善。本文从网上支付的概念、特征及运行流程入手,在明确网上支付特殊性的基础上,对网上支付的风险和风险的成因进行具体分析,最后结合国际上的先进立法,对我国网上支付风险防范提出系统的建议。本文的讨论分为四个部分:第一部分为网上支付的基本分析。这一部分首先概括了网上支付的概念,总结了网上支付的三种形式及其特征,结合图形介绍了网上支付的具体流程。然后对网上支付涉及的法律关系进行分析,明确参与网上支付的各个主体,及其相互间的法律关系,为下文分析网上支付的风险奠定理论基础。第二部分对网上支付的风险进行详细的分析。本部分首先根据风险的不同表现形式将风险分为不同的类型,接着深入介绍每种风险的具体表现以及对网上支付当事人的影响,最后对网上支付风险的成因做了进一步的分析,探讨了网上支付风险产生的土壤和环境。第三部分介绍国际上先进立法。本部分主要是通过借鉴国外各国针对各种网上支付风险采取的具体措施,以此寻求我国关于网上支付风险防范的立法启示。第四部分探讨网上支付风险防范和救济的立法完善问题。本部分通过借鉴国外先进的立法经验,并结合我国的国情,在支付平台的法律定位及监管方面、资金的监管方面以及各种风险承担机制方面提出了具体的立法建议。更多还原

【Abstract】 E-commerce is becoming the main trend of economic development with the rapid development of network technology and E-commerce. In the field of E-commerce, information flow, logistics and capital flow are the three very important aspects, among which the capital flow is the most crucial part. Besides, the capital flow is also basic conditions for carrying out the transactions. The manifestation of capital flow in e-commerce is online payment, which transfers the information via electronic data in the opening system platform. Compared with those traditional payment methods, it has the advantages of low cost and high efficiency. Meanwhile, as a newborn payment method, the online payment faces with many difficulties and risks along with its rapid development.Therefore, this essay pays attention to the risk prevention and remedial measures of the online payment, reviews the lack of legal norms of online payment in terms of risk and tries to perfect the existing legal norms which regulating the online payment. Discussing the concept, characteristics and operation of the process of the online payment firstly, this essay analyzes the risks and the causes of them on the basis of understanding the specificity of online payment. Then, it proposes systematic recommendations towards the risk prevention of the online payment, combining the international advanced legislation.There are four parts of this essay:The first part is the basic analysis of online payments. Firstly, it outlines the concept of online payment, sums up the three forms of online payment and their characteristics, describes the specific process of online payments combining with graphic. Then it analyzes the legal relationships involved in the online payment, specifies each the main body involved in the online payment and their mutual legal relationships, which will lay the theoretical foundation for the analysis of the risk of the online payment.The second part of the essay analyzes the risk of the online payment in detail. At the beginning of this part, I would like to classify the risks according to different forms of expression, then I will introduce the concrete manifestation of each form and the influence of which to the online payment parties. Finally, I prefer to make a further analysis of the causes and environment of the risks.As for the third part, I would like to introduce the international advanced legislation. This part mainly discusses the different concrete measures which different countries adopt in allusion to various risks. We can seek for legislation inspiration about the online payment risk prevention by means of those discussions in China.The last part of this essay analyzes the legislative improvement of the risk prevention and remedial measures of the online payment. In this part, through learning from foreign advanced experience in legislation, combining with the situation of our country, the essay proposes concrete legislative recommendations towards the legal position and supervision of the payment platform, capital and risk bearing mechanism.更多还原
