【摘要】 经济飞速发展的今天,“并购”已经成为经济界和企业界提及频率最高的词汇之一,并购活动也成为企业发展壮大的最重要的途径之一。在企业并购的过程中,充斥着各种各样的碰撞与冲击、各利益集团的矛盾与纠纷,而贯穿于这些矛盾和碰撞之间的,正是文化的不和谐,企业文化的不和谐是企业并购中一切不和谐的本质与根源所在。如不及早解决,将会影响并购的进程,降低企业的效率,甚至还可能导致并购的失败。因此,做好并购过程中双方企业文化的整合才能从根本上解决并购活动中存在的问题,最终使并购活动取得圆满的成功。本文在许多学者对并购、企业文化、文化整合及其相关研究的基础上,通过对众多知名案例的相关分析并深入实际情况的案例考察,提出了企业并购的全过程文化整合这一概念并对此进行了详尽深入的介绍和分析,以期能对企业管理理论的不断发展进步尽一份自己的力量,并为准备并购、正在实施并购和已经并购的企业提供一个有效的理论分析模式。更多还原

【Abstract】 As the unimaginable development of the world’s economy,“M&A”has become one of the most frequent words used by the economic fields,including the theoretical field and the practical field。There are all kinds of collision and impulsion,conflicts and disputes within many interest groups filled in the process of the company’s M&A。Throughout these conflicts and collision, it is the disharmony of the culture。So the disharmony of the corporate culture is the essence and root of all the disharmony in the company’s M&A。If you can’t solve it in season,it will affect the development of the M&A,reduce the efficiency of the company,even it may result in the failure of the M&A。There is none than to resolve the problems in the process of the M&A at the root,you can get done with the cultural concord of the two parties in the process of the M&A,and then the M&A will have an orbicular success finally。On the foundation of so many scholars’study on M&A、corporate culture、cultural concord and something related,and then through thorough study on many famous M&A cases,this text advances the conception which called overall process of the cultural concord in the M&A。In the text penman also do a particular introduction to this conception and then make a deep analysis in order to try my best to the progress of the business management theory,and to provide an effective theoretical analytical model to these companies who are preparing,being and already done M&A。更多还原
