【摘要】 随着经济全球化的发展,世界各国经济已经密不可分,经济发展也越来越国际化,当今国际市场上最为引人瞩目的经济趋势之一,就是跨国并购,它正以越来越大的规模,越来越快的速度改变着整个世界经济。中国,作为世界发展速度最快的大型经济体之一,深刻的明白融入世界经济的重大意义,因此跨国并购方式正成为中国企业实施“走出去”战略的一种重要的实践形式。这几年来,中国企业的跨国并购更是发展迅速,一些企业已经迈出了海外并购的步伐,并且取得了巨大的成功,联想并购IBMPC全球业务部门,开始在国际市场上与戴尔、惠普等行业领袖展开了全面的竞争。但总体而言,中国企业的跨国并购还有很长的路要走,仍处于初级发展阶段,尤其是对于那些希望借助跨国并购来增强核心竞争力的国内企业来说,如何有效的选择目标企业,如何在并购之后进行有效的整合还需要有建设性的对策和方法。本文结构安排如下:第一章是绪论,对文章的研究背景、研究意义、研究内容和研究框架等进行了说明。第二章是关于企业跨国并购和核心竞争力等相关理论的阐述,旨在为中国企业参与跨国并购提供强大的理论支持。第三章主要叙述了中国企业开展跨国并购的动因、概况和存在的问题,旨在对中国企业在跨国并购中所碰到问题进行分析。第四章是针对上述中国企业在跨国并购中遇到的问题,给出中国企业围绕核心竞争力进行跨国并购的目标选择和整合方法。本文采取层层推进的方法对中国企业跨国并购等相关问题进行了详尽的论证,其真正目的就是希望能为中国企业的跨国并购活动提供理论基础和方法指导,更加期望能为各界所注意,为中国经济的发展尽一份力。更多还原

【Abstract】 With the development of globalization, countries worldwide have been tightly dependent upon each other and the economic development is becoming more international. One of the most remarkable trends of the global market is the greater and greater development of cross-border Merger and Acquisition (M&A), which is changing the global economic situation in a faster and faster way.As one of the fastest-growing economy units worldwide, China has had a deep understanding of the significance for the entry to and integration with the world market, as a result, cross-border Merger and Acquisition has become one of the important practices of the ’going abroad’ strategy by many of the huge enterprise groups of China. Recent years, the cross-border M&A has developed fast with some pioneering enterprises wining great success in it, for example, the Lenovo has launched all-round competition with such industry leaders as Dell and HP in world market. However, generally speaking, there is still a long way for our Chinese enterprises in the primary phase of the development of cross-border M&A. Especially for those aiming to enhance their core competency through cross-border M&A, it is urgent for them to find effective solutions in target searching and integration after M&A.The structure of this essay is as follows: the first chapter is about introduction indicating the research background &significance, research contents and train of thought. The second chapter presents the related theories of cross-border M&A and core competency, providing theoretically support the cross-border M&A transactions of Chinese enterprises. The third chapter aims to analyze the existing problems after having a knowledge of the intention and general situation of our Chinese cross-border M&A. The fourth chapter proposed solutions in target searching and integration in details. By fully reasoning the relevant issues of Chinese enterprises’ anticipation in the cross-border M&A transactions with a stepwise research method, this essay aims to provide Chinese enterprises with theoretical basis and tactic guidance for their cross-border M&A transactions and make a contribution for our china’s economic development.更多还原
