【摘要】 改革开放以后，我国私营经济经历了长足的发展；但是也出现了一些比较严峻的问题，劳资关系问题就是其中之一。我国学术界对我国私营企业劳资关系问题进行了广泛的研究分析，但是大多是对劳资关系中的一些具体问题，表面现象进行论述，并没有从劳资关系的本质和内涵层面上深入分析。本文的分析是从劳资关系中的产权和契约两个本质概念着手。首先，从契约和产权的角度对劳资关系的概念和表现形式等关键问题重新界定。其次，就劳资契约对劳资关系的影响进行基础性分析，指出了劳资关系的契约基础，劳资契约对劳资关系的直接影响。再次，就劳资契约对劳资关系的影响进行了拓展性分析，从中指出了人力资本的专用性、异质性对劳动合同期限的影响，分析了不完全劳资契约和委托—代理的劳资契约对劳资关系的影响，同时就劳资契约与法律关系进行了分析。最后，在分析的基础上，从劳动合同期限的设计、劳资治理结构、工会和法律建设和政府作用这几个角度提出了相应的政策建议。同时也指出了由于契约本身的局限，不可能完全依靠劳资契约的设计来解决劳资关系中的所有问题。因而，我国私营企业劳资关系问题的解决是一个长期的过程。更多还原

【Abstract】 After Reforming and Opening, private economy experienced big development,but it also meet some rigorous problems. The labor relation is one of them. Academicfield has done much extensive research on the problem of labor relations. But much ofthem are focused on some concrete problem and superficial phenomenon. They didnot analyze it from essence and content level.This paper analyzes labor relations from two essence level of property rights adcontract. First, the paper defines the concept and appearance form of labor relationsfrom property rights and contract. Second the paper dose some basic analysis on theinfluence of contract upon labor relations, points out the labor relation’s basis oncontract and direct influence of contract upon labor relations. Third, the paper dosesome expand analysis on influence of contract upon labor relations. It point out theinfluence of human capital’s special investment and difference characteristic uponthe term of contract, and analyzes the influence of incomplete labor-capital contractand entrust-agency labor-capital contract upon labor relations. And it analyzes therelationship between labor-capital contract and law. At last, the paper puts forwardsome suggestions on the design of contract term; manage structure of labor relations,labor union and the function of government. On the other sides, the paper point outthat we can not solve all problem of labor relations only depend on the design oflabor-capital contract because the limitation of labor-capital contract itself.
