【摘要】 公司治理作为一种制度安排，在演进过程中有着重要的路径依赖根源。学者们越来越重视将路径依赖思想与公司治理研究相结合，说明公司治理的路径依赖问题日益得到认同和重视。 沿着不同历史路径发展至今的各个国家，有着不同的发展经历和背景，公司治理的侧重点是截然不同的。公司治理对路径的依赖使习惯于控制权集中的国家采用了“银行控制主导型”的治理模式(大陆模式)，也使股权高度分散、流动性强的国家选择了“市场控制主导型”的治理模式(英美模式)。本文从初始状态、收益递增、学习效应、网络效应、文化积累、历史小事件、沉没成本、转换成本、环境制约、既得利益集团等方面，通过对公司治理路径依赖的形成机制、锁定机制、产生后果，及破解问题等方面的探讨，总体提出了一个研究公司治理路径依赖的系统分析框架。并结合我国国有企业公司治理的演化路径及治理机制中存在的路径依赖，探究国有企业公司治理路径破解的基本思路。更多还原

【Abstract】 As a kind of institutional arrangements, corporate governance has heavy path dependence resource in evolution. Scholars pay more and more attention to combine thought of path dependence with thought of corporate governance, it means the problem of path dependence of corporate governance gets the approbation and values increasingly.Each country with different history has different development experience and background, the emphasis of corporate governance is entirely different. Path dependence of corporate governance makes some countries that used to control concentrated adopt the bank- controlled mode of corporate governance, and make other countries with high dispersion and strong mobility of stock choose the market-controlled mode of corporated governace. This paper tries to create a system analysis frame to study path dependence of corporate governance by the first appearance, increasing income, study effect, network effect, cultural background, small affairs of history, sink-cost and convert-cost, limitation of environment and the interest group etc. We also try to combine path dependence of evolution with corporate govenance of our state-owned enterprises, so as to find out the basic way of thinking of solution of the lock-in problem of corporate governance.更多还原
