【摘要】 本文所讨论的内容，限于保证制度中的特殊保证形式——独立保证合同部分，对其它担保形式，只作对比性的介绍，不详细分析。并且本文所称的独立保证合同是从保证担保中分离而来，是以保证担保为基础来研究的，独立保证合同的名称也有笔者自己的见解。在本文中，独立担保和独立保证是意义相同的称谓，由于笔者引用许多资料来佐证本文内容，所以会出现混用的情况，因此在此预先说明。 本文讨论的独立担保合同这种担保方式趋于国际惯例统一化，其法律地位目前尚未被各国普遍接受，业务操作也未统一。在实务中也缺乏统一明确的法律规范，因此独立保证合同在实务运作中面临的法律风险较大。但独立保证合同以其突出的特征迎合了现代经济发展中国内国际贸易的需要，发挥了其他担保方式不可替代的作用。为此，本论文运用历史分析方法、比较分析方法，并结合相关立法例，全面、深入地研究了独立保证合同的法律性质，另外本文在前人研究基础上，运用法学和部分金融学知识，对独立保证合同做进一步法律研究，着重就其存在价值及理论基础还有在实务中可能遇到的法律风险等的背景、原因、表现及其防范等方面作深入分析，希望能通过对独立保证担保在理论上和实践上的研究探讨，为正在走向国际市场，迎接国际激烈竞争的我国政府和企业提供法律上的参考，为中国企业无论在国内还是国外顺利开展独立担保业务，维护自身的合法权利，有效防范法律风险，贡献一点自己的力量。 全文共分五个部分： 第一章是独立保证合同的一般理论，首先开门见山的阐述独立保证合同的更多还原

【Abstract】 With the development of modern business transactions, in order to control trade risk effectively, a new form of personal security - independent guarantee contract has come into being.Confining to history and cognition, most of people misunderstood the nature of independent guarantee. Through comparative and analytical approach, based on certain country’s statute law and legal practice in independent guarantee, this article makes a comprehensive and profound study on the legal nature of independent guarantee contract.This article consists of five chapters:Chapter I introduces the concept, history and background of independent guarantee contract.Chapter II focuses on the contract nature of independent guarantee. From development view, the article analyzes the reason of why the author call independent guarantee for independent guarantee contract, and considers that independent guarantee have contract’s characters exactly. Only from contract angle, we will really know the development of independent guarantee contract and the utilizable probability of real life.Chapter III discusses the independent nature of in dependent guarantee. From historical view, the article analyzes the nature of independence, and considers that independent guarantee has no independent character in nature exactly.
