一人公司法律制度研究

【摘要】 一人公司(one-man company)又称独资公司、独股公司，是指股东仅为一人的有限公司或股份有限公司。它是公司中的特殊类型，它的出现冲击了公司的社团性理论。1925年，列支敦士登首先在立法上承认了一人公司。自20世纪80年代开始，许多国家顺应市场经济发展的客观需要，先后在公司法中确立了一人公司的合法地位，建立一人公司法律制度已经成为世界各国公司法的发展趋势。是否承认设立时的一人公司一直是我国公司法修改中的热点话题，我国最终在今年通过的公司法修正案中确立了一人公司法律制度。但笔者认为这一制度还有待于进一步完善。本文主要从以下四个部分阐述一人公司的法律制度： 一、一人公司的基础理论。通过论述一人公司的概念、特征、产生发展原因情况以及对传统公司理论的冲击，明确界定了一人公司法律制度，阐述了一人公司给传统公司法理念带来的新内容。 二、西方国家对一人公司的立法例。介绍了两大法系关于一人公司的立法和实践，重点论述了各个国家的立法理由和法律规制，阐明了一人公司的存在价值和发展趋势。说明了一人公司在世界主要发达国家已经得到了法律的认可，我国可以借鉴其部分立法成果。 三、我国一人公司的立法现状。分别论述了公司法修订前和修订后的立法情况，并从健全社会主义市场经济体制的需要、弘扬创业精神、完善我国法制环境、促进公平竞争等方面论述我国承认一人公司的必要性。 四、完善我国一人公司法律制度的立法构想。尽管我国已经规定了一人公司的法律制度，但结合我国的实践和国外的立法例，笔者认为还有一些需要完善的地方，如从总体上采用一人公司单独立法和修改公司法相结合的方式；对一人公司的治理结构做出具体规定；对自己交易进行规制，确保一人公司财产的独立性；建立基本储备金制度；对公司法人格否认制度做出具体规定等等。更多还原

【Abstract】 One-man company calls again the sole ownership company, the alone stock company, refers limited company or the limited joint-stock company whose shareholder is only one person. It is a special type in companies, its appearance destroyed company’s mass organization theory. In 1925, Liechtenstein first acknowledged one-man company in the legislation. From the 1980s, with the development of market economy, many countries successively acknowledged one one-man company’s legal status in corporation law, and there is a tendency that more and more countries establish one-man company law system. It has been one hot spot topic in course of amending the corporation law whether acknowledges the established one-man company. Our country established the law system of one-man company in this year, finally. But the author thinks this system still need further to improve. This article mainly elaborates one-man company law system from following four parts.1. One-man company’s basic theory. This part discusses one-man company’s basic concept, characteristics, nature, classification and basic principles and gives a clear definition to one-man company, which also brings forth some new ideas to enrich the company law. The law systems, which differs one-man company from the other company is also mentioned.2. The legislation examples of western nations. This part gives a brief introduction about the law-making and legislative practice in the countries of the two genealogies of law in the world and highly value one-man company existence and its trend of development is brilliantly expounded. The western advanced countries have given the green-light to one-man company by law and thus our country should follow the suit.3. Present situation in legislation in our country.
