【摘要】 随着中国加入WTO，农业市场进一步开放，福建农业企业面临着日益激烈的国内外竞争压力，他们将寻求发展的目标投向国际资本市场，希望通过境外上市使企业发展拥有获得稳定的资金来源和完善的运作机制，实现跨国经营战略目标。 本文采用理论与实践相结合的方法，沿着必要性→可行性→操作性线路展开对福建农业企业境外上市问题研究。论文主要由四部分构成，前两部分以理论分析和实践分析为主，后两部分以实务研究为主。 首先，福建农业企业寻求境外上市有其必要性。经济全球化和农业国际化进程的加速以及中国加入WTO，使福建农业企业面临着严峻的挑战。随着农业产业化进程的推进，福建农业企业发展取得一定的业绩，但仍存在规模小、资金缺乏、经营机制落后、科研力量薄弱等问题。根据资本市场功能理论，境外上市可使福建农业企业获得资金和经营机制的保障，有利于拓展国际市场。 世界经济的良好发展态势、境外资本市场的引力及我国境内的政策支持为福建农业企业境外上市创造良好的宏观环境。农业的发展前景以及人们对健康产业的关注使得境外投资者对中国农业概念股票产生极大的兴趣。同时许多中国农业企业境外上市的实践及业绩进一步证明福建农业企业境外上市是可行的。当然他们境外上市也不是一帆风顺，存在各种制约因素。 企业在操作境外上市时，上市地点和上市方式是两个重要的决策因素。目前，境内企业境外上市的地点主要集中在香港、新加坡和美国，此外，英国伦敦、加拿大和日本东京也偶有涉及。不同的证券市场有各自优劣势，福建农业企业要对境外市场进行综合比较及根据自身的特点和发展战略来选择上市地点。在上市方式选择上，同样没有唯一确定的模式，福建农业企业由于规模限制，短期内比较可行的上市方式是境外间接造壳上市。 为推进福建农业企业顺利境外上市，政府应加强对境外上市农业企业主体培育，完善国内相关法律和农业相关会计制度建设，培育专业中介机构，提高监管效率。福建农业企业自身在作出境外上市的正确决策后，应在组织、财务、管理、选择合作伙伴及境外上市路演几方面作好充分的准备；成功上市后，还应切实转换经营机制，进一步提高公司运作透明度，提高公司治理，充分利用国际市场平台走产品经营与资本经营并重发展的道路。更多还原

【Abstract】 With China enters WTO, the agricultural market is opened further, Fujian agribusinesses are facing intense domestic and foreign competition pressure day by day. They seek the development goal orient to the international capital markets, and hope to acquire the stable capital source and perfect operation mechanism through overseas listing, and realize the gole of transnational operation strategy.The paper uses the method which the theory and practice unifies to study the problem of Fujian agribusinesses listing on the overseas security markets along the necessity→feasibility→operation circuit. The paper mainly composes of four parts. The first two parts are primarily theoretical analysis and practice analysis, and the latter two parts are substantive study primarily.Firstly, it is necessary for Fujian agribusinesses to list on overseas security markets. With the acceleration of the process of economic globalization , the internationalization of agriculture and China entering WTO, Fujian agribusinesses are facing severe challenges. With the advance of the agricultural industrialization process, Fujian agribusinesses have achieved certain performance, but they still exist many problems, such as small scale, lack of funds, backward operating mechanism, and weak research and so on. According to the theory of capital markets function, overseas listing will make Fujian agribusiness acquire the safeguard of funds and the operating mechanism , and be beneficial to expand the international market.The good development trend of the world economy, the gravitation of overseas capital markets and government policy support create a favorable macro environment for Fujian agribusinesses listing on overseas security markets. Overseas investors have a great interest in Chinese agricultural stock because of the agricultural development prospects as well as the health industry concerns.
