【摘要】 随着中国经济的快速发展及2001年加入世界贸易组织,越来越多的跨国公司进入了中国市场,他们采取了包含特许经营在内的多种进入模式。特许经营对中国的企业来说并不陌生,但是在中国还没有得到充分发展,特许经营的立法和商务环境尚未健全。本论文一共分为四个部分:第一部分是关于特许经营的总的回顾,包括特许经营的历史、特许经营的分类以及在美国和中国的发展现状;第二部分从特许人和受许人的角度分析如何选择特许经营,购买一份特许经营会花费投资者一生的储蓄,所以在购买特许前一定要充分了解受许人在购买特许经营时所面对的一般问题和涉及自己所购买领域的具体问题。本章的后半部分从特许人的角度阐述如何招募受许人,选择合适的受许人同样是一个很困难的决定,在选择过程中特许人受很多因素的影响,比如自身的偏好、经验、特许人以往的从业经历、能力及性格等。第三部分主要阐述如何避免特许经营欺诈,购买一份特许经营并非是成功和赚取高利润的保证,像其它任何投资一样,特许经营具有风险。本部分给我们一些有益的提示如何避免特许经营欺诈;最后一部分主要陈述国际著名特许经营产业在中国的发展状况。本论文的目的是给渴望加入特许行业的中国企业一些有价值的指导,每个人都想拥有自己的公司、做自己的老板,希望每个人都能实现自己的“美国梦”。更多还原

【Abstract】 With the rapid development of Chinese economy and China’s entry intoWTO, more and more MNCs rush into china, which take different entrymodes, especially the franchise format. Franchise is not new to Chineseenterprises but it is still underdeveloped in China, including the franchiselegislation and the commercial environment. The paper falls into four parts:Chapter one gives us a general review about franchise, such as the history offranchise, franchise type and current development status in the States and inChina;Chapter two explores franchising from the franchisee and franchisorpoints of view. Buying a franchise is a serious investment of time and moneyfor a business you will likely depend on for your livelihood. You shouldthoroughly educate yourself on the issues faced by franchisees in general andthe specifically in the system you hope to join. The second half offers somesuggestions on how to recruit franchisees, there are difficult decisions to bemade in the recruitment of franchisees, which are tied up with accurateassessments of who will succeed and who will fail. Chapter three presentsconstructive suggestions and warning signs those prospective franchiseesshould keep in mind to avoid franchise fraud. Last chapter is the survey aboutthe franchise industry in China. The intent of this paper is to provide thecompanies, especially the Chinese entrepreneurs who desire to touch thefranchising field, with some guidance.
