【摘要】 金融控股公司由于庞大的组织结构和复杂的股权关系,在经营和管理上都存在许多不完善的地方。这些潜在的问题如果没有得到很好地解决,风险将是巨大的。如何去面对和解决这些风险,已是摆在我们面前的急迫问题。本文研究就是基于上述背景,全文共分五章。第一章为金融控股公司概述,介绍了金融控股公司的产生背景,定义及特点;以美英日等发达国家金融控股公司发展模式为代表,介绍金融控股公司的发展模式;最后对国内外金融控股公司相关理论作了综述和回顾,并提出了本文对金融控股公司风险管理进行研究的出发点。第二章深入分析和讨论了金融控股公司所面临的风险;这些风险既包括一般金融机构所面临的一般风险,更包括了金融控股公司所面临的特殊风险。第三章介绍了金融控股公司的风险控制与管理手段;分别从内部控制和公司治理结构两个层次探讨金融控股公司如何从内部进行风险管理。第四章主要从外部监管的角度出发,介绍了金融监管的理论和主要模式。第五章在介绍分析我国金融控股公司所面临的风险基础上,提出了对我国金融控股公司风险管理与监管的框架和监管方式;结合国内外经验和理论依据,对我国金融控股公司风险管理体系从风险管理流程和组织架构提出了设计方案。更多还原

【Abstract】 Financial Holding Companies as an innovation of financial systems and financialstructure are not only the different combination of financial institutions, the changesof structure of financial institutions and the enlarging scale of financial institutions,but also a significant breakthrough of traditional financial systems. According to thebig organizations and complicated equity relationships of the financial holdingcompanies, there will be big problems during its operation.So that is what I am concerned and my researches are based on it. This paper can bedevided into five parts. The first part is a preface. In this part, what is a financialholding company can be introducted and held some cases such as USA, UK andJapan.The second part of this paper is the kind of risk of a financial holding company. Notonly the common risks but also the special risks are analysed.In the third part, we introduct the inter-controlling and group govermance offinancial holding company to avoid risks.The forth part, we introduct the outside regulation system to supervision the macrorisk of financial holding company.The last part is our design to our financial holding company based on the presentcondition of our state.更多还原
