【摘要】 证券市场是高风险市场,它对于一国国民经济的发展起着举足轻重的作用,如其运行不当,很可能造成经济危机甚至社会危机,因此要加强证券监管。证券监管有自律和他律两种模式,学者们在探讨证券监管时,大多都强调政府监管,但证券市场自律的基本理论和制度构建却为大多数人所不了解,从法律角度探讨自律的就更少。当前,在国际上证券监管呈现趋同化倾向,即传统他律性国家加强了自律,传统自律性国家加强了他律。我国证券市场是在政府主导下建立的,导致政府监管不可替代的作用。我国应借鉴发达市场经济国家成功经验,构建并完善证券市场自律制度,保证证券市场的长远、健康发展。我国证券市场迫切需要加强自律制度建设,增强自律组织的独立性,廓清自律、他律的权责边界,并完善上市公司自律、证券公司自律、中介机构自律以及投资者自律等,证券业协会和证券交易所作为最重要的自律组织,应当适应不断发展变化的国际环境,进行必要的改革。没有自律行不通,仅仅依靠自律也不可行,在我国,自律和他律一个都不能少,应建立“以政府监管自律组织,自律组织监管市场为主,政府直接监管市场为辅”的多层次监管体制。更多还原

【Abstract】 The stock market is the high risk market, it regarding a country national economy development pivotal function, if moves is improper, very possibly creates the economic crisis even society crisis, therefore must strengthen negotiable securities supervising and managing. Negotiable securities supervising and managing has the autonomy and heteronomy two kind of patterns, the scholars when discussion negotiable securities supervising and managing, mostly all emphasizes government supervising and managing, but the stock market autonomy elementary theory and the system construct actually did not understand for the majority person, are less from the legal angle discussion autonomy. Presently, in on international negotiable securities supervising and managing presents hastens the assimilation tendency, namely the traditional heteronomy country strengthened the autonomy, the traditional autonomy country strengthened heteronomy. Our country stock market is establishes under the government leadership, causes function which government supervising and managing cannot be substituted. Our country should profit from the developed market economy country success experience, constructs and consummates the stock market autonomy system, the guarantee stock market is long term, the health development.
