【摘要】 高校董事会制度源自美国。从1642年哈佛学院建立世界上第一个高校董事会至今,已经有360余年的历史。可以说,美国高校董事会制度在立法、权限、人员构成等方面已经形成了一系列比较完善的制度,其中许多经验值得我们借鉴。改革开放以来,特别是20世纪90年代以来,我国高校迎来了一个成立董事会的热潮。这些高校董事会的建立对拓宽办学经费筹措渠道、加强产学研合作等起到了非常积极的作用,但在实际运作过程中也出现了一些问题。本研究的目的就是借鉴美国高校董事会制度的先进经验,结合我国实际,构建中国特色的高校董事会制度。本论文共分五章: 第一章,我国高校设立董事会的动因及法律保障。本章首先界定了高校董事会的概念,然后简要论述了我国高校设立董事会的动因及法律保障。 第二章,我国高校董事会概况。本章回顾了我国高校董事会的历史沿革,介绍了其基本类型,阐述了目前我国高校董事会存在的问题,以期给读者一个整体性印象。 第三章,中美高校董事会比较。本章首先对美国高校董事会进行概要性介绍,总结其特点,最后通过比较,得出中美高校董事会之间的相同点与不同点,为构建中国特色的高校董事会制度提供借鉴经验。 第四章,构建中国特色高校董事会制度。本章讨论了构建我国高校董事会的原则,提出了构建过程中的四个误区,总结出其特色并提出具体构建措施。 第五章,个案研究:华北电力高校董事会。本章以华北电力大学董事会为案例,对我国构建中国特色高校董事会,特别是原行业性高校董事会进行了较全面的探索。更多还原

【Abstract】 The University Board of Trustees originated from America. It is over 360 years since the first University Board of Trustees in the world was set up in the Harvard College in 1642. American University Board of Trustees has formed complete system in the legislation, rights and personnel, in which much experience can be borrowed for China. Since the opening-up policy executed, especially after the 1990’s, the construction of University Board of Trustees formed an upsurge. And these Boards of Trustees give a very positive impact for widening the approaches of financing, fastening the relationship of product, university and research and so on, but there are also some problems. The purpose of the paper is to borrow the advance experience in America, combining the Chinese status, and construct the University Board of Trustees with Chinese characters. The paper is divided into five chapters:Chapter 1, The cause and legal protection for the University Board of trustees. The chapter first defines the concept of Board of trustees, and then presents the causes and legal protection of setting up the Board of Trustees.Chapter2, The general situation of University Board of Trustees in China. By recalling its history, classifying the Board of Trustees and discussing the existing problems the paper offering the readers a whole impression.Chapter 3, Comparison between China and America University Board of Trustees. First the chapter introduces the American University Board of Trustees, summarizing their features, comparing the sameness and differences, providing the experiences for the construction of University Board of Trustees in China.Chapter 4, Constructing University Board of Trustees with Chinese characters. The Chapter discusses the principals, four mistakes, characters and detailed measures during the construction of University Board of Trustees with Chinese characters.Chapter 5, Case study: North China Electric Power University (NCEPU) Board of Trustees. The chapter takes the NCEPU Board of Trustees as a classical case, exploring how to construct University Board of Trustees with Chinese characters, especially for the former industry-originated universities.更多还原
