【摘要】 公司治理(corporate governance)问题,一直是中外专家学者、政府政策制定者以及企业家致力寻求最佳答案的重点和热点。公司治理是一个多角度多层次的概念,狭义的公司治理是指所有者(主要是股东)对经营者的一种监督和制衡机制。其主要特点是通过股东大会、董事会、监事会及管理层所构成的公司治理结构的内部治理。广义的公司治理包括两个层次。第一层是外部治理,外部治理就是市场对企业的治理;第二层是内部治理。 我国国有企业改革实际上就是国有企业治理改革和管理改革,建立现代企业制度就是建立健全规范的公司治理结构和科学的管理机制;指出规范公司治理结构是我国国有企业改革中拯需解决的问题。党的十五届四中全会指出,“公司制是现代企业制度的一种有效的组织形式,公司法人治理结构是公司制的核心”。因此,公司治理结构问题,对于国有企业改革有着重要的理论和实践意义。 本论文是在中国国有企业改革走向规范化和制度化的背景下进行的。建立科学的、权力相互制衡的公司治理结构是新形势下规范国有企业改革的重要课题。本文结合现行的中国公司治理结构中的问题,借鉴外国的有益经验,来研究如何提高各公司权力机关的运行效率和公司治理结构的整体效率,具有较强的应用性。 论文在第一章绪论部分首先交代了论文研究的背景及意义,其次阐述了当前国内外公司治理结构的最新研究动态,接着详细说明了公司治理结构的历史演进过程,对本文从整体上进行了概述。 论文正文部分首先在第二章介绍了治理结构的基本理论以及现代公司治理结构的特征与构成;其次在第三章对当前西方国家的两种主更多还原

【Abstract】 The problem of corporate governance has always been an important and hot topic on which Chinese and foreign specialist, governmental policy-makers and entrepreneurs have been working to find the best solution. Corporate governance is a concept in multi-angles and implications. The narrow sense of corporate governance is about owner of share-rights a kind of mechanism of supervisor and uniform to managers. The special feature is inside governance by the general meeting, the board of directors and the supervisory board. The broad sense of corporate governance contains two implications. First implication is outside governance, It is the governance by market to enterprises; Second implication is inside governance.The state-owned enterprises (SOEs) reform in China is in fact the reform of SOEs refers to establishing complete and standard corporate governance and scientific management system. It is an urgent problem to be solved in the reform of SOEs that the corporate governance needs to be standardized. As a result, the research on corporate governance is of great important both in theory and in practice. The 4’ plenum of 15’ CPC Central Committee pointed out that "the corporate system is an effective organizational form of the modern enterprise system and the corporate governance is the core of the corporate system. Therefore, the problem of corporate governance has a profound practical and academic significance for SEOs reform."The research theme of the article is carried out under the background that state-owned enterprises of china are striding to standardization andsystematization. That forming scientific, mutual checking enterprises’s corporate governance is the critical task for standardizing the state-owned enterprises’ reform under new situation. Rather than emphasizing to research how to setup scientific enterprise’s corporate governance, this article, combining the problem arisen in active enterprise’s corporate governance, and referring the foreign useful experience, researches how to improve the operating efficiency of corporate power organ and the overall efficiency of corporate governance. So it has high applicability.The article first introduces the basic principle of corporate governance in the second chapter, the characteristic and composition of modern corporate governance, then Compare western corporate governance in the third chapter, which has two models, and get some useful methods to our state-owned enterprise; And in the forth chapter, By looking back into the history of our country’s state-owned reforms, points out that it is necessary to establish modern enterprise regulation for state-owned enterprises. At the same time it is found that the main problem located in the past reform which only improve government controlling and encouragement on enterprises instead of establishing a scientific corporation governance; Based on that, pointing that Because of imperfect in regulation, laws and market, the model brings out lots of problems such as insider-control, excessive freedom for large stockholder, no efficiency of supervisory, hollowing out the listed firm, etc; then in the last chapter give effective means : to perfect the stimulation and control mechanism, to perfect the-structure of the board of the directors through introducing independent directors, to perfect market system andlaw system.更多还原
