【摘要】 20世纪90年代以来,高科技产业快速发展、壮大,高科技企业在国民经济中的地位不断提升,高科技企业的发展受到越来越多的关注,理论界对于高科技企业的研究近几年也日益增多,但从公司治理结构角度对高科技企业进行研究的比较少。本文以公司治理理论为基础,从人力资本入手,分析人力资本在高科技企业中的地位与作用,明确高科技企业治理结构中人力资本的主体地位,同时本文还结合高科技企业的生命周期,阐明了高科技企业在生命周期的各阶段所具有的不同特点,以及与传统企业生命周期的不同,提出了要根据高科技企业生命周期的各个发展阶段来建立治理结构。通过对人力资本和高科技企业生命周期的分析,本文提出了高科技企业基于生命周期的治理结构特征,并从治理主体、治理手段、治理客体三个方面对本文所提出的治理结构进行了详细的分析。文章最后结合我国高科技企业的治理结构的现状,提出了完善我国高科技企业治理结构的对策。更多还原

【Abstract】 After 1990s, high-tech industry is developing and growing rapidly. The status of high-tech enterprises is enhancing in national economy. High-tech enterprises are paid more and more attention. In recent years, researching on high-tech enterprises is increasing, but it is less from corporate governance. On the basis of corporate governance theory, this article started with human capital, analyzed the status and function of human capital in high-tech enterprises, and affirmed the dominant status of human capital in the corporate governance of high-tech enterprises. Meanwhile, combined with lifecycle of high-tech enterprises, this article illustrated different characteristic from every phase in life cycle and traditional enterprises. And also, this article suggested we should establish the corporate governance according to the every phase of life cycle of high-tech enterprises. By analyzing the human capital and life cycle, this article proposed the future of corporate governance of high-tech enterprises on the basis of lifecycle, and analyzed it from governance main body, governance means and governance object. At the end, the article advanced countermeasures of reforming the corporate governance of high-tech enterprises of our country according to the status quo of the corporate governance of Chinese high-tech enterprises.更多还原
