【摘要】 公司重整,作为司法内的公司拯救手段,是一种关于困境公司拯救的特别制度,也是我国当前破产法改革和理论研究的重点。在此基础上,许多学者从制度层面上对公司重整作了大量研究。本文正是在这样的前提下,从微观层面出发具体研究公司重整制度的核心和精髓之所在——公司重整计划程序问题,以期能为我国公司重整制度之建构提供一点有益的帮助。 本文除前言外,共分为六章,主要内容概述如下: 前言部分主要阐述了本文的写作动机和研究方法。 第一章 公司重整计划理论基础与特征:本章分为两节。首先阐述了公司重整计划理论所在,在此基础上着重阐述该理论对公司重整计划程序研究的指导意义;其次阐述了公司重整计划特征,从总体说明本文研究对象的属性。 第二章 公司重整计划提出:本章分为两节。首先结合国外立法例对公司重整计划提出人问题做了详细阐述:在此基础上研究了法律对重整计划提出的要求,以期为提出人拟定重整计划提供更多支持。 第三章 公司重整计划审议:本章分为三节。首先对审议机关及其相关问题进行研究,着重区分债权人会议与关系人会议的不同;其次,对重整计划审议规则进行了详细研究,揭示重整计划程序特色与价值之所在;最后,针对重整计划审议中的困境,研究了相关的法律救济途径。 第四章 公司重整计划批准:本章分为两节。公司重整计划批准是公司重整计划产更多还原

【Abstract】 As means of Corporation Redemption under Judicature, Corporation Reorganization is a special system about Corporation Redemption, also is a focus studied in Bankruptcy Law. So on this basis of above research, this thesis , from microcosmic point, wholly work over The Corporation Reorganization Plan and questions pertain to it.This thesis consists six chapters and its main content as following:Foreword: It mainly expatiate writing motivation and study methods.Chapter I The Theory and Characteristic of Corporation Reorganization Plan: In this chapter, firstly the theory of Reorganization Plan are explained detailedly. Then the author discuss the Characteristic of the plan.Chapter II The Constitution of Corporate Reorganization Plan: This Chapter is the emphases of this thesis. Stand by attendee of this procedure, with overseas Corporate Reorganization Law, this chapter consist the establishment about the plan’s draft, vote of the plan’s draft and authorization of the plan’s draft and so on.. Above this basis, the author compare ((Enterprise Bankruptcy and ReorganizationLaw(Draft)? with other counties.Chapter III The Discussion of Corporate Reorganization Plan: This chapter mainly comprises three parts: Firstly legislation pattern about The Content of Corporate Reorganization Plan; Secondly the disposition of creditor and shareholder; Lastly measures of Corporate Reorganization.Chapter IV The Confirmation of Corporate Reorganization Plan: The Confirmation of Corporate Reorganization Plan is the last approach of a Corporate Reorganization Plan, so the author mainly study the Normal Confirmation and the Compulsion of the Corporate Reorganization Plan.Chapter V The Implement and Abolishment of Corporate Reorganization Plan.
