【摘要】 21 世纪是竞争的时代,企业要在日益激烈的竞争中取得优势,必须具有核心竞争力。企业如何获得核心竞争力?加强企业的技术创新,特别是自主创新,是一条重要的途径。目前,我国企业的技术创新主要依靠技术引进,对企业外部技术依赖性较强,而自主创新能力较弱,在一定程度上制约了我国企业参与市场竞争的能力。是什么原因造成我国企业自主创新能力不强?这既有外部的原因,也有企业内部的原因。外部,国有创新体系还没有真正建立起来,区域创新体系也正在建立之中;内部,企业研发投入较低,技术创新的人力、物力支持不足。但是,造成这种情况最根本的原因是企业缺乏技术创新的积极性。本文认为公司治理结构对企业技术创新有着重要的影响。第一部分,主要提出了本文研究的意义、重点和创新,并回顾了国内外相关研究。本文认为,目前国内外关于公司治理结构对技术创新影响的研究,处在理论探讨和实证研究相结合的阶段,本文通过实证研究,对相关理论起到了一定支撑作用。第二部分是公司治理相关概念和理论回顾。首先阐述了公司治理与公司治理结构的联系与区别,然后简要回顾了公司治理相关理论。第三部分是公司治理结构对技术创新影响的理论探讨。首先较详细的阐述了组织控制理论,该理论也是本文实证研究比较重要的理论基础。然后简单介绍了制度学说,以及公司治理结构对技术创新的作用机制。第四部分是公司治理结构对技术创新影响的实证研究。主要通过实证数据,从股权结构、董事会结构和负债结构三方面研究公司治理结构对技术创新的影响。由于数据的原因,本文仅考虑了制造业上市企业。第五部分,阐述了实证研究的主要结论,并提出了加强我国企业研发能力的政策建议。更多还原

【Abstract】 The 21st century is the era of the competition, enterprises should make the advantage in competition, they must have core competence. How do enterprises obtain core competence? Strengthening the technology innovation of enterprises, especially independent innovation, is very important. At present, technology innovation of Chinese enterprise depends on technology import mainly, and independent innovation is relatively weak, restraining enterprises from participating the market competition in a certain extent. What it is cause independent innovation of Chinese enterprises to be weak. Outside, the national innovative system has not been really set up yet, regional innovative system is setting up too; Inside, the input of R&D of enterprises is relatively low, material resources of technology innovation are supported insufficiently. However, the reason causing this kind of situation is that enterprises lack the enthusiasm of technology innovation. Corporate governance has the important influence on technology innovation of enterprises. The first part has put forward meaning, focal point and innovation of the article mainly, and reviewed the existing literature. This article considers that the existing literature about the effects of the structure of corporate governance on technology innovation at present is the stage of combining with empirical research in the theories, the result of this article has certainly supported relevant theories through the empirical research. The second part is the review of the concepts and theory of corporate governance. Firstly, explained the relationship of corporate governance and the structure of corporate governance, then reviewed the relevant theories of corporate governance. The third part is the theory discussion about the effects of the structure of corporate governance on technology innovation. Organizational control theory is particularly explained at first, it is an important theoretical foundation of this article too. Then introduced the system theory, and the function mechanism to technology innovation of the structure of corporate governance briefly. The fourth part is the empirical research about the effects of the structure of corporate governance on technology innovation. The effects of the structure of corporate governance on technological innovation are researched from equity structure, structure of board of directors and debt structure based on empirical data. This article has only considered the enterprises of manufacture industry, because of the reason of the data. The fifth part has explained the main conclusion of the empirical research, and has given the policy proposals of strengthening enterprise’s research and development ability of our country.更多还原
