【摘要】 中国加入WTO以后,外资企业的分阶段进入将极大地改变中国当前的市场格局,而中国企业也必将面临日益激烈的市场竞争。从国外发展经验来看,一些发展中国家在开放本国的市场后国内企业出现极度萎缩,跨国公司在很多行业占据了本国市场的主导地位,致使国家经济体系时常出现震荡。我国对于公司治理结构的研究尚处于初级阶段,加上我国还处于经济转轨时期,面对有着良好公司治理结构、丰富管理经验的跨国集团,中国企业要想在激烈的竞争中立于不败之地,其只有在有限的时间内加快改革步伐,方能顺应经济全球化的趋势,而得以生存与发展。因此,我们有必要对我国企业公司治理结构作系统深入的分析研究,找出需要解决的关键问题,从而提出有效的建议。 本文采用理论分析与实证研究相结合的方法研究了中国上市公司中对市场变化具有良好适应性特征的敏捷企业的公司治理结构。本文首先对敏捷企业进行了界定,给出了敏捷企业的概念及特征,并通过企业对经济制度变迁的适应性的考察,在中国150家上市公司中找出18家敏捷企业,作为后续研究敏捷企业治理结构的样本。接着,本文对公司内部治理机制与框架进行了概括总结,并结合中国的市场环境,归纳出一系列变量来描述敏捷企业公司治理在中国的具体实践。最后,本文分析了公司治理评价的意义,考察了中国公司治理状况的特殊性,构建了中国上市公司敏捷性评价指标体系。更多还原

【Abstract】 The market will change when China enter into WTO. From the developed experience of other countries, the corporation of some developing countries shrank away overly, and the multinational corporation held the main market position in some field after opening their own market. The result was that the nation’s market system is often unrestful. At present, the reformation question of Chinese corporation becomes one of the focuses of the world, which is emphasis on the corporate governance of China listed firm. Because the studying in corporate governance of China listed firm is in primary strings and China is in transition economies, facing to the seasoned multinational corporation with perfect corporate governance, what Chinese listed firm must do is to mend their pace and acclimate the economics global trend. Therefore, it’s necessary to deeply research the corporate governance of China listed firm and find the key questions, accordingly table the effective proposal.This paper mainly researches the corporate governance of smart corporation in stock market, whose character is that it can always have seem pace with the development of economics. The method of study is theoretical analysis and empirical analysis. In the first place, we define the signification of Smart Corporation, and present the definition and characteristics of Smart Corporation. According to the examination of Smart Corporation’ adjustability to the economy, we find out 18 Smart Corporation from Chinese listed firms. Then this paper reviews the theory of corporate governance briefly and summarizes the models and framework of corporate governance of smart corporations.
