民营企业治理：家族制向委托代理制的转变

【摘要】 随着社会主义市场经济体制的建立,我国的民营企业生机勃勃地发展起来。民营企业以其明晰的产权机制,灵活的经营机制,双向选择、竞争择优的用人机制,自我发展和自我约束机制在市场中占据了极大的优势,近几年来,民营企业已经成为我国国民经济发展的重要力量,对国民经济的贡献十分突出,是推动市场经济改革的主要动力之一。在我国经济的发展过程中,民营企业逐步成为其主体和主导,在经济总量中的比重逐步提高,是财政收入的重要支撑,成为最具生机和活力的经济增长点。因此大力发展民营经济已经成为普遍共识。 如今,我国民营企业无论是在数量发展,还是在国民经济贡献中都显现出了国有企业不具备的优势。同时,其发展势头也越来越强,其中一些企业迅速完成了资本的原始积累,开始向多元化和规模化经营迈进,并逐步形成了一大批民营企业集团,但是引起人们关注的是,多元化和规模化经营并没有给民营企业发展带来质的飞跃,相反却成为有些民企无法逾越的平台,特别是20世纪90年代后期,一些在全国颇具影响的民企集团开始纷纷触礁。究其失败的原因是多方面的,然而,一个共同的症结是,民营企业自身在管理方面的落后正极大地制约着它的进一步发展。 本文从民营企业管理中存在的委托代理问题入手,来分析如何减少由此产生的委托代理问题。以促进其走向成熟,尽快完成向现代企业制度的转变在市场经济的大潮中把企业做大做强。从文章的结构看,本文共分为四个部分: 第一部分,我国民营企业的主要管理模式——家族制。在本章中,首先运用一些数据对我国民营企业的发展现状和经济贡献做了大概的介绍,然后详细分析了我国民营企业创业初期采用家族制管理模式的优势和劣势,从而得出家族制有利于创业而不利于发展的结论,要想促进企业的进一步发展,改革其管理模式,志在必行,应由家族制向委托代理制转变。 第二部分,现代企业理论——委托代理理论的产生和发展。该部分主要介绍了现代产权理论和委托代理理论,总结了当代西方学者关于产权的定义和西更多还原

【Abstract】 The private enterprise of our country develops vigorously with the establishment of the socialism market economy system. By the mechanism of clear property rights, vivid management, the double to the choice and competing to choose excellent persons, self-development and self-constraint, the private enterprise occupied great advantage in the market. In the last years, the private enterprise has already become the important power of our national economy; the contribution to the national economy is very outstanding. The private enterprise become leading factor progressively in the course of development of our country’s economy, it is an important support of the fiscal revenues, So developing private economy is necessary and everyone approve it.Now, the private enterprise has more advantage in quality and contribution. At the same time, its growth is stronger and stronger; some enterprises finished the primitive accumulation of the capital rapidly. Now there are many private enterprise groups, but some influencing enterprise groups failed, especially in 1990s. The reason of their failure is much, however, a common key is that the draggled management of themselves constraint their development.My article analyzes that how to solve the problem of Principal-Agency in private enterprise, thus the private enterprise can be stronger than before. This text can divided into four parts in accordance with construction of my article:The first part, family system is the main form in the private enterprise in our country. In this part, I introduce the situation and contribution of the private enterprise using some data. Then I analyze the advantage and inferior position of family enterprise in detail. And make a conclusion that family system has an advantage to start a business but a disadvantage in the development. In order to promote the development of the private enterprise, we must reform management mode, we should change family system to Principal-Agency system.The second part, the rising and development process of Principal-Agency theory. This part mainly introduces the rising and development of property righttheory and Principal-Agency theory.The third part, the problem of the property rights and the problem of Principal-Agency in the private enterprise. This part analyzes the problem of the property rights and its danger in detail in the private enterprise of our country. At the same time I discussed the present condition of the Principal-Agency and analyzed its reason and danger.The fourth part, perfecting Principal-Agency system in the private enterprise. In this part, I advise some methods to enforce the constraint and inspiration by taking the external and internal environment into consideration. I made analysis of several relatively new constraint and inspiration measure. I hope these points of views could enlighten the private enterprise’s development, the standard of trust-agency mechanism in private enterprises and the design of constraint and inspiration to agent in private enterprises.更多还原
