【摘要】 本文是对清州宏大制药集团股份有限公司并购变革管理的研究。在介绍了中国医药行业背景,研究该企业并购变革的意义和目的基础之上,阐述了企业并购变革管理的基本理论,以及清州宏大制药集团股份有限公司并购变革前后的实际情况;论文介绍了案例企业并购变革的起因、并购变革的程序、并购变革的内容以及并购变革的困难等问题,提出了新兴的民营企业如何并购中小型国有企业,开展企业的并购变革管理等问题。本文主要是以一个制药企业的并购变革管理的实际情况为依据进行的案例剖析,全文以案例企业发展的时间为顺序,逐步开展分析和讨论。通过客观反映企业的并购变革过程,通过对其人力资源、市场营销及管理团队等的变革剖析,从一个新视角,对实施“国退民进”(国有企业的国有成份退出,引进控股的民营成份)并购变革策略的企业,分析了它的变革管理工作。本文通过案例企业并购变革管理的研究,初步建立企业并购变革的变革时机、变革的程序、变革内容设计以及并购变革困难的对策等并购变革的管理框架,提供了企业在并购变革管理中如何减少变革抵制现象和员工压力的策略,以及提高企业变革能力和变革文化整合等操作实际素材和方式方法,为企业变革管理的实践提供可借鉴的管理手段和方法。更多还原

【Abstract】 This text improves the studying of management to the merger of Qingzhou Hongda Pharmaceutical Group Co., Ltd. Merge on the meaning improved and purpose foundation in the medical trade background of introduction and research of this enterprise, it explains enterprises merge the basic theories which improve management, and case enterprises --Actual conditions before and after the Qingzhou Hongda Pharmaceutical Group Co., Ltd merges and improves. It analyze the cause origins, the procedure that improves, the content includes, countermeasure to the difficulties etc. for the case enterprise. It offers enterprises of our country to merge the enlightenments and lessons which improve management. It mainly illustrates the actual instance of case pharmaceutical enterprise during the process of its merger and change management. The full text regards time for development of enterprise as the order, discuss and analyze progressively. According to an objective record, complement and analyze with the change to its human resources, marketing, and management of groups, etc., it is expect to improve simple analysis of merger and change management, which implement that state-run compositions of the state-owned enterprise withdraw, introduces private compositions of controlling interest improve the tactics, in one new, little visual angle from such medium-sized or pint-sized enterprises.After researching of improving management through the case enterprise, the elementary frame of managing to merge tentatively is set up, including enterprise change opportunity, procedure and content design and countermeasure to difficulties. It also offers enterprises real operating material and methods to carry out merger and change management, covering how to decrease change-resist phenomenon and staff pressure, to improve enterprise ability of changing and enterprise culture combination.
