【摘要】 随着我国市场经济的迅速发展,上市公司的并购重组日益成为社会各界关注的热点问题之一。由于我国上市公司并购重组发展的历史较为短暂,在并购重组过程中不可避免地会遇到各种各样的问题。本文首先对并购重组的目的、效应及当前主要的重组类型进行了概述。然后通过对京东方战略并购、TCL换股合并及青岛啤酒并购整合三个典型案例的分析,对上市公司并购重组前的战略规划、并购重组中的换股合并、并购重组后的整合等几个问题作了初步探讨和分析。企业在并购重组过程中,必须有明确的发展战略作为指导,应该通过并购提高企业的核心竞争力;在并购过程中必然要涉及会计问题,探讨了采用购买法或权益联营法对并购产生的不同影响;并购是手段,整合是本质,并购后的整合是关系到并购是否成功的关键所在。本文所探讨的几个问题是所有并购活动都会涉及到的。今后必将会有越来越多的并购重组案例发生,希望本文能起到抛砖引玉的作用,对于上市公司在将来并购重组的实务操作中有一点借鉴和参考作用。更多还原

【Abstract】 With the development of market economy in China, mergers and acquisitions of listed companies are becoming one of the focal points in the different parts of the society. Listed companies are confronted different questions in the process of mergers and acquisitions because of short history of this kind of activity in China.In the first, this paper overviews the purpose, effect and main types of present mergers and acquisitions. Then analyze the questions of strategy, stock-for-stock and integration of mergers and acquisitions through analyzing the cases of BOE, TCL and Tsingdao Beer.In the process of mergers and acquisitions, the companies should have definite strategy and should strengthen the core competition through mergers and acquisitions. Different influences on listed companies by choosing the purchase method or pooling of interests is discussed. Integration after mergers and acquisitions is the key to the success of mergers and acquisitions.All of the issue discussed in the paper is certainly concerned in the process of mergers and acquisitions of every company. It is hoped that the analysis is useful to the mergers and acquisitions of listed companies from now on.更多还原
