商业标识统一立法初探

【摘要】 随着经济与科技的发展,一方面,商业标识的地位与作用日益凸显,它与我们每个人的日常生活联系亦更为紧密:另一方面商业标识领域本身也正在发生巨大的变化,各种新的商业标识随着科技的革新而不断涌现。“一枝独秀”的商标法已难以应对当前纷繁复杂的现状,商业标识立法正面临着一种难言的尴尬。因此,改变这种形势势在必行。而也正是在这种背景下,本文的构思应运而生。 本文共分为六部分。 第一部分是引言。主要对标识、商业标识、商品标识及商标进行界定与区分,厘清它们之间的关系,从而为接下来的论述奠定基础。 第二部分是第一章。这一章将述及商业标识具体存在哪些类别。主要包括未注册商标、注册商标、商号、商品特有名称、商业外观、商业角色、证明标记、地理标记、域名等。当然,商业标识并不限于此,随着商业的发展和技术的支持,它的外延将继续扩展。紧接着文章还将对商业标识的功能作进一步的分析。 第三部分是第二章。这一章将着重对我国当前商业标识的立法现状进行分析。首先,由于分散的立法模式及缺乏统一原则的执法模式,导致各商业标识之间权利冲突现象突出。另外,现行以商标法为主体的商业标识立法模式对一些新兴的商业标识缺乏应有的规制,因而,众多法律盲区出现,商业标识领域应有的秩序亟需维持,商业标识统一立法实属必然。 第四部分是第三章。此章将重点阐释商业标识统一立法的必要性和现实可行性。关于必要性方面,文章试着从三方面予以透析。首先是新形势呼唤商业标识统一立法。随着Wl,O的加入,挑战与机遇并存,为了应对和符合TRIPS协议的要求和原则,唯有加快商业标识统一立法方可填补法律上的空白,推进我国全球化的里程。另一方面,电子商务的崛起也呼唤商业标识统一立法。其次是从法经济学角度分析。商业标识统一立法有利于降低立法成本,提高立法质量,并可有效避免商业标识间的权利冲突和碰撞。最后,是哲学层面的反思。商业标识统一立法符合效率、秩序和安全价值的内核要求。关于现实可行性方面则重于分析商业标识统一立法的理论基础和现实基础。从理论基础而言,各商业标识统一立法具在其共同的法理基础。文章将从共同的标识性、本质上的联系、功能上的联系以及使用上的联系四个方面予以论证。而现实性基础则主要从立法基础和经济基础两方面对其可行性加以分析。 第五部分是第四章,共分为四节。是对我国商业标识法重构的思量与建议。第一节是关于我国商业标识法立法模式的探讨,文章分析了商标法与反不正当竞争法相结合的立法模式和知识产权统一法典模式的各自弊端及不足,提出了制定一部统一的《商业标识法》具有承前启后的作用和意义,不失为制度上的最佳选择。第二节分析了商业标识法的立法目的。商业标识法不仅有利于私益的保护,还有利于公益的维护,·并且其终极目的在于维持公益与私益的平衡。最后两节分别阐析了商业标识法的基本原则及应当采取的立法体例。 第六部分是结语。关键词:商业标识统一立法

【Abstract】 With the development of economy and technology, the status and function of commercial mark become more prominent than old age, at the same time, it’s relationship with our everyday life turns tighter than ever. On the other hand, commercial marks themselves also have a huge change and so many kinds of new commercial marks came out accompanied with creation of science and technology. At present, only trademark law outstands in the area of commercial mark, but it can’t copy with all kinds of complicated problems and the legislation of commercial mark is in a very embarrassed state. Therefore, it is essential to change this state. This dissertation frames at this very kind of background.The dissertation includes six parts.Part I is introduction. It mainly demarcates and discriminates among mark, commercial mark, products mark and trade mark, then makes their relationships tum clearer, as a result, it will set up a consolidate basis for the following discussion undoubtedly.Part II is chapter one. This chapter will expound what kinds of commercial marks there exist concretely. They include chiefly non-registered trademark and registered trademark and trade name and name peculiar to goods and trade dress and trade character and certificate mark and geographical indicate and domain name etc. Of course this isn’t enough, its extension will continue to expand with thedevelopment of commerce and support of technology. Furthermore, it will also analyze functions of commercial mark to go step further.Part III is chapter two. In this chapter, it will pay more attention to the commercial mark legislation in china. Firstly, owing to the decentralized legislation model, conflicts of commercial mark rights are very fierce nowadays. Secondly, as for the trademark-monololized legislation model, it can’t regulate some new commercial mark, thus so many law blind-areas appear and the order of commercial area needs to maintain imperatively and it’s inevitably to strengthen the commercial mark uniform legislation.Part IV is chapter three. This chapter will elaborate and analyze the necessity and feasibility of commercial mark uniform legislation. About its necessity, the dissertation will try to expound further from three aspects. Firstly, new circumstances call for commercial mark uniform legislation. With the entry to WTO, challenges and opportunities appeared at the same time. In order to conform to its demands and principles, speeding the uniform legislation of commercial mark will be important and it is also beneficial to fill those law blanks and to promote the process of Chinese globlization. Furthermore, the rising of electronic business also requires the uniform legislation. Secondly, from the perspective of juris-economics, the uniform legislation is helpful to cut down legislation costs and enhance legislation quality and avoid those conflicts of commercial mark rights effectively. Lately, it is about rethinking in philosophy. The uniform legislation of commercial mark satisfies essential requests of efficiency and order and safe value. In the aspects of realistic feasibility, this article will analyze from theoretical basis and reality basis two facets. First of all, the theory of commercial mark uniform legislation establishes on the common basis of theory. It will be proved from four sides: common mark’s nature and relation on essence and relation on function and relation on utilization. And its basis of reality includes legislation and economy basement mainly.Part V is chapter four. It will consider the reestablishment of Chinese commercial mark legislation and make some suggestions too. There are four sections. Section one will discuss the commercial mark legislation model. It concerns aboutthree legislation models. But the combined legislation model of trademark law and opposing unfair competition law and intellectual property uniform code model both have their malpractices and lacks, so it’s very significant to formulate a uniform code of commercial mark law and it is the best choice of system.
