基于战略视角的家族企业继承问题的研究

【摘要】 目前,家族企业研究普遍基于代理理论视角或资源视角,对家族企业中“家族”的一面涉及较多,对“企业”一面则缺乏关注。近年来,一些学者(Chrisman、Chua & Sharma)注意到这一问题,开始把目光更多的集中于对“企业”一面的研究,倡导从战略视角去研究家族企业。本文希望从战略视角出发对企业主子女在继承影响过程所面临的影响因素进行一定深度的讨论。 家族企业的继承过程可以分为三个层次:进入前(层次Ⅰ)、进入企业并参与管理(层次Ⅱ)和传递领导权(层次Ⅲ)。继承影响过程是介于层次Ⅱ与层次Ⅲ之间的一段特殊时期,各种影响因素将对企业主子女发生作用,进而决定其能否成为下任CEO。为了更直观地说明问题,本文使用“子女接班人名次”这一指标来衡量业主子女能成为下任CEO的可能。 在文献综述的基础上,本文归纳了11种子女接班的影响因素,并通过问卷调查的方式对萧山区的家族企业进行了调研。在对调研数据进行统计分析的基础上,本文得出继承影响过程的四个核心因素:竞争、重建、能力和职业化。其中,竞争、重建和职业化属于阻力因素,能力属于促进因素。本文在此基础上构造了名次四因素模型,并给出一个反映子女接班人名次与四种核心因素关系的函数,形成一个名次四因素理论。最后,在名次四因素理论基础上,本文讨论了三种生命周期的家族企业继承影响过程,并就子辈如何面对这些影响给出了一些中肯的建议。

【Abstract】 At present, most of the studies about family business carry through the point of agency or RBV, and they mainly focus on the "family" more than "business" . In recent years, some scholars such as Chrisman, Chua & Sharma have discovered the problem and begun to focus on the "business" , advocating researching family business on the basis of strategic perspective. The paper is about to discuss the factors influencing succession from strategic perspective.The succession process of family business includes three phases, namely the phase of Pre-entry to family business, the phase of Managing Entry and the phase of Taking Charge. In the phase from the second one to the third one, all kinds of factors affect successors and even determine which to be next CEO. The index "Rank of Successor" is used for illuminating the probability that the successor will be CEO of family business in this paper.The paper includes 11 factors influencing succession based on the literature, and has empirical study about the family business located in Xiaoshan region by the means of questionary. And then based on the analysis of the data from investigation, the paper has got 4 Core Factors affecting succession, namely Rivalry, Re-foundation, Competence and Profession. The factors of Rivalry, Re-foundation and Profession resist the succession, while the factor of Competence promotes it. The paper then builds a Model of 4 factors for Rank based on the discovery in the former, and presents a function to indicate the relationship between Rank of Successor and the 4 Core Factors. These form the theory of 4 Factors for Rank in this paper. At last, the paper makes use of the model to discuss the influencing process in family business of three different developing phase and bring forward some suggestions to help the successors face these influence.
