企业合并与反垄断研究

【摘要】 二战后，企业合并浪潮在全球兴起，为防止企业合并中出现垄断问题，大多数国家纷纷制定反垄断法律法规对企业合并进行规制，美国是世界上第一个制定反垄断法的国家。主张我国在起草和制定反垄断法的过程中，对企业合并的规制要借鉴和吸收美、德等西方国家成熟的立法经验，成功地实现我国反垄断立法与国际惯例和规范衔接。准确合理地对企业合并进行规制，保护中小企业、消费者等弱势群体的合法利益，同时又要防止出现大型跨国企业在我国实行行业性垄断，为我国公平的、自由的社会主义市场经济提供法律保障。 本文除引言和结语外，共分三部分： 第一部分：企业合并与垄断。本部分主要介绍国内外法律对企业合并和垄断含义的界定。分析目前企业合并的形式和交易方式，企业合并与垄断的关系。 第二部分：国外反垄断法对企业合并的规制。本部分介绍美国反垄断法对企业合并的规制，在法理的演变和法律的实践过程中国家所奉行的反垄断政策由严格控制到温和，直到现在的放宽政策。从美国反垄断法和德国《反对限制竞争法》对企业合并控制的规制得以立法启示。 第三部分：我国反垄断中企业合并控制立法建议。我国反垄断法尚处于立法阶段，从我国实际出发科学合理制定反垄断法，保护好企业合并行为，既合理保护好企业的发展，又要防止出现大型跨国企业在我国实行行业性垄断。更多还原

【Abstract】 After World War II, the business enterprises merge with each other. In order to counter the rise of monopoly that many countries establish the anti monopoly law to cope with the merge of enterprises. The unite states is the first country that legislate the anti monopoly law. As far as our country is concerned, we should share the good lessons and experience of America, Germany and other western countries. Only do like that can we regulate the merge of corporation and protect the small corporation and consumer, and in the sometime, we car evade the big monopoly of international in our country, so that we can establish a healthy market economy.The paper can divide into three parts:Part I: The merge and monopoly of enterprise. In this part, I present the definition of merge and monopoly in a view of foreign country and our country. And analyze the form of corporation merge, the relationship of merge and monopoly.Part II: The foreign legislation cope with the merge. In this part I mainly introduce the American anti monopoly law is how to cope with the problem, the trend is from strict to mild, and we learn some lessons from it.Part III: Some legislation supposition without our country’s corporation merge. The anti monopoly law in our country is step into a elementary stage so we must legislate it practically. Only do like that can we protect the development of enterprises and limit the monopoly of some international corporation in our country.更多还原
