【摘要】 人力资本是高科技企业经济资源中最有价值的资源，如何建立有效的激励制度，最大限度地吸引、开发人力资本是高科技企业必须要考虑的重大问题。 股票期权作为一种有效的长期激励制度，在高科技企业中被广泛运用。企业通过期权式的收益分配方式，增强了高科技人才的团队意识，充分调动了高科技人才的工作积极性，以产权关系为纽带实现个人与企业的共同发展。 本文以高科技企业为研究对象，研究股票期权在我国高科技企业中的运用。首先，论文从理论基础入手，指出股票期权能满足高科技人才对其人力资本产权承认的要求，是解决委托—代理问题的制度创新之一，能有效地促进高科技企业的技术创新。其次，论文分析了高科技企业运用股票期权的条件，指出高科技企业的高成长性和高科技人才激励的特殊性是高科技企业运用股票期权的有利条件，但我国资本市场的不规范、人才市场的不发达、相关法律法规的不健全及企业治理结构的不完善是高科技企业运用股票期权的不利条件，在具体阐述了它们对股票期权运用的不利影响后提出相应的改善措施。最后，在目前的条件限制下，结合企业特点对高科技企业股票期权方案进行了设计。更多还原

【Abstract】 Human capital is the most valuable resource in the economic resources of high-tech enterprise. How to establish valid motivation system to attract and develop the human capital to the largest extent is an important problem that high-tech enterprise must consider.As a valid long-term motivation system, stock option is widely used in high-tech. Through profit distribution style such as stock option, enterprises strengthen consciousness of team of high-tech talents, fully arouse their work enthusiasm, and realize the joint development of individual and enterprise by the tie of property rights relationship.Regarding high-tech enterprise as the research objective, the thesis studies the application of stock option in high- tech enterprise of our country. Firstly, the thesis starts with theoretical basis, points out that stock option can meet the requests of high-tech talents to admit their human capital property right, and is one of system innovations solves client-agent problem and can effectively promote technology innovation of high-tech enterprise. Secondly, the thesis analyzes the conditions of high-tech enterprises to apply stock option, points out that the high growth of high-tech enterprise and specific characteristics of high-tech talent motivation are favorable conditions of high-tech enterprises to apply stock option. But the abnormal capital market undeveloped talent market imperfection relative laws and rules and unconsummated enterprise administration structure are unfavorable conditions of high-tech enterprises to apply stock option. Then the thesis promotes corresponding improvement measures after specifically expounding their unfavorable influences to stock option utilization. Lastly, in the restrictions of current conditions, the thesis designs high-tech enterprise stock option plan combined with enterprise characteristics.更多还原
