【摘要】 一个高科技创业企业，经过风险投资的精心培育，逐步成长为一个现代成熟企业，这是一个艰难而漫长的过程。实事求是地说，我们对这个过程中所发生的一切，还知之甚少；尤其是风险投资在其中起什么样的作用?它是如何深度参与管理、帮助企业度过“幼年期”?……值得我们关注和探索。本论文的主旨就是结合一个实际的案例，分析风险投资在高科技创业企业发展过程中所起的作用远远超越了传统金融中介人的角色，它所提供的不仅仅是钱，更重要的是它的管理经验及全方位的支持。全文共四个部分：第一部分从总体上对风险投资的概念、特征、内涵及其发展历程进行了阐述；并对风险投资发挥作用的内在机理及兴起的原因从理论上作了详细剖析。第二部分以深圳金蝶软件公司作为案例，着重介绍了像金蝶这样一个新兴的高科技创业企业在引入风险投资后所发生的巨大变化。第三部分在对案例进一步分析的同时，从微观的角度揭示了风险投资在高科技创业企业发展过程中所起的重要作用，并深入地论述了风险投资通常在多大程度上、以何种方式参与企业的决策管理。第四部分结合我国社会经济发展状况，探讨了影响我国风险投资发挥作用的制约因素，并提出了相应的对策措施。本文在参考国内外专家、学者研究的基础上，结合我国国情对风险投资在促进高科技创业企业迅速成长中的独特作用进行探索，找到了一个比较切合实际的分析研究方法。倘若能对我国风险投资业的健康发展起到一定积极作用，则深感荣幸。更多还原

【Abstract】 A lot of things have to happen to transform a start-up, consisting of a few founders with an idea, into a modern corporation, which is a complex institution. Yet, relatively little is known about this "professionalization" process. In particular, what role, if any, do financiers play as well as how to participate in management deeply and help a start-up grow?In this paper we examine the hypothesis that venture capitalists play roles over and beyond the traditional roles of financial intermediaries through a case study. Venture Capital (VC) firms devote not only the financial resources, but the significant management resources to understand new technologies and markets. Four parts are divided in the article.The first part makes a general exposition on Venture Capital concept, characteristic, nature and its process of development, then theoretically analyzes Venture Capital’ s internal mechanism as well as its occurring reason.The second part introduces a successful case in which Kingdee Software Group Co. Ltd has achieved development rapidly by the help of Venture Capital.The third part focuses on analyzing the roles of Venture Capital in the development of hi-tech company, and generally discusses to whatextent and in what way the Venture Capital would take part in themanagement and making-decision of startups.The forth part researches the major problems that restrict developmentof Venture Capital in our country, and put forward the countermeasureson how to develop Venture Capital in China.On the base of consulting the theory researched by the forerunners athome and abroad, the gist of this article is to probe Venture Capitalconsidering the condition of our country.
