【摘要】 本论文以我国企业经营者激励为研究对象，以经营者股票期权的实施为立足点，建立了一个系统的分析、设计、评价体系。本文共分三大部分。第一部分是对研究对象的理论分析和研究，提出了相应的前提性假设。第二部分通过对经理股票期权实施的分析及中外实施情况的比较，进而提出了中国特色股票期权方案的设计，以及实施效果的评价方案设计，为实际应用提供了依据。第三部分分析了经营者股票期权实施的负面影响及实施过程中所存在的制约因素，并就相关配套措施提出了几点设想和建议。 本论文采用理论研究与实证分析相结合的方式，借用西方理论，并结合我国国情，得出了一个重要命题：经理股票期权的实施可以有效地解决我国企业经营者的长期激励问题。本文通过中外比较，并针对中国国情，设计了有中国特色的经营者股票期权方案，接着给出了经营者股票期权实施效果的有效性评价体系的设计，以更好的保证经营者股票期权的实施效果。文章最后对经营者股票期权的实施所可能带来的负面影响，以及我国实施过程中所存在的障碍进行了分析，并提出了相应的政策建议及相关防范措施。更多还原

【Abstract】 This article is about Chinese Enterprise Operator’s incentive. Based on the practice of ESO(Executive Stock Option, simplified as "ESO" ),the article builds up a system of analysis, designing and appreciation. This article is divided into three parts. The first part is about theory analysis and research. Also it gives a premise. The second part analyses the ESO’ s practice, also compares the difference of ESOs in China and foreign countries. Then it designs an ESO operation in Chinese character and gives it an evaluation. This can be used as a basis of practice. The third part analyses the difficulty of ESO in practice and points out its negative effection. And it suggests several methods in solving the problems.There is a combination of theory analysis and demonstration analysis. It concerns about the special environment in China. And it uses some foreign advanced theory. Then it works out an important conclusion: the fulfilment of ESO can efficiently solve the problem of Chinese enterprise operator’s incentive.更多还原
